Common use of Nonsurvival of Representations, Warranties, Covenants and Agreements Clause in Contracts

Nonsurvival of Representations, Warranties, Covenants and Agreements. None of the representations, warranties, covenants and agreements contained in this Agreement or in any instrument delivered pursuant to this Agreement shall survive the Effective Time except for any covenant or agreement of the parties which by its terms contemplates performance after the Effective Time (which covenant or agreement shall survive in accordance with its terms).

Nonsurvival of Representations, Warranties, Covenants and Agreements. None of the representations, warranties, covenants and agreements contained in this Agreement herein or in any instrument certificate or other writing delivered pursuant to this Agreement hereto shall survive the Effective Time Time, except for any covenant or agreement of the parties which covenants and agreements which, by its terms contemplates performance their terms, are to be performed after the Effective Time (which covenant or agreement shall survive in accordance with its terms)Time.
