Notes; Accounts Receivable. As of the date of this Agreement there -------------------------- are and as of the Closing Date to the extent included in the Disclosure Schedule there will be, properly reflected on their respective books and records, all notes receivable and accounts receivable of DSI and the Subsidiaries, each of which are and will be valid receivables subject to no known setoffs or counterclaims other than normal and routine credits and exchanges of products and warranty claims. No representation is made as to the collectibility of any specific receivable but this disclaimer shall not in any way limit the representations contained in Paragraph 3.5 hereof.
