Notice of Commercial Tort Claims Clause Samples
A Notice of Commercial Tort Claims clause requires a party to inform the other party if it acquires or asserts any commercial tort claims during the course of their agreement. In practice, this means that if a business suffers harm in a way that gives rise to a commercial tort claim—such as fraud, misrepresentation, or interference with contractual relations—it must promptly notify the other party, often a lender or secured party. This clause ensures that the secured party is aware of any new claims that could affect collateral or the overall risk profile, thereby protecting their interests and maintaining transparency in the business relationship.
