In this event, all the rights, powers and discretions will be exercisable by, and all payments shall be made and all communications shall be sent to the Security Agent or as it directs. However, we have agreed with the Security Agent that in no event will we amend or waive any provision of, or terminate, the Contract without the prior consent of the Security Agent.
