Common use of Notice to Vendors Clause in Contracts

Notice to Vendors. Purchaser shall, as soon as practicable following the Closing Date, send to each vendor under an Assumed Contract a written notice of the assignment to Purchaser of Sellers’ obligation under such Assumed Contract, which notice shall request such vendor’s agreement to look solely to Purchaser for payment or performance of such Assumed Contract and to release Sellers from all obligations thereunder.
