Notices and Consents. Each of the Parties will give any notices to, make any filings with, and use its best efforts to obtain any authorizations, consents, and approvals of governmental authorities necessary in order to consummate the transactions contemplated hereby.

Without limiting the generality of the foregoing, each of the parties (a) will file (and the Seller will cause each of the Company and the Company Subsidiaries to file) any notification, report forms and related material that it may be required to file with the Federal Trade Commission and the Antitrust Division of the United States Department of Justice under the HSR Act, (b) will use its reasonable best efforts to obtain (and the Seller will cause each of the Company and the Company Subsidiaries to use its reasonable best efforts to obtain) an early termination of the applicable waiting period, and (c) will make (and the Seller will cause each of the Company and the Company Subsidiaries to make) any further filings pursuant thereto that may be necessary, proper, or advisable in connection therewith; provided, however, that neither the Buyer nor any of its Affiliates shall be obligated to agree (i) to divest any of their respective assets or any of the assets being acquired under this Agreement or (ii) to any condition imposed by any Governmental Authority that would adversely impact the respective businesses of the Buyer or any of its Affiliates or that would otherwise reduce the benefits to the Buyer or any of its Affiliates resulting from the consummation of the transactions contemplated by this Agreement.
