Notices from Governmental Authorities. To Seller’s knowledge, Seller has not received from any governmental authority written notice of any material violation of any laws applicable (or alleged to be applicable) to the Real Property, or any part thereof, that has not been corrected, except as may be reflected by the Property Documents or otherwise disclosed in writing to Purchaser.

Seller and Purchaser expressly agree that the Property is sold on an “AS IS” basis only WITH ALL FAULTS OF ANY KIND, INCLUDING ENVIRONMENTAL (whether above, within, or under the Property). SELLER EXPRESSLY DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, AS TO THE FITNESS, ENVIRONMENTAL COMPLIANCE, AREA, CONDITION, QUALITY, QUANTITY, CHARACTER, SIZE, DESCRIPTION, MERCHANTABILITY, OR HABITABILITY OF THE PROPERTY OR OTHERWISE, EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT AND THE WARRANTY DEED AND OTHER CLOSING DOCUMENTS TO BE DELIVERED HEREUNDER. PURCHASER WAIVES ALL WARRANTIES AND REPRESENTATIONS, EXPRESS OR IMPLIED, EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT AND THE WARRANTY DEED AND OTHER CLOSING DOCUMENTS TO BE DELIVERED HEREUNDER.

Seller has not received from any governmental authority written notice of any violation of any zoning, building, subdivision, fire and safety or business laws, rules or regulations applicable to any portion of the Property that has not been corrected to the standards and satisfaction of such applicable authority.

To iStar’s Knowledge, iStar has not received from any Governmental Authority written notice of any material violation of any Laws applicable (or alleged to be applicable) to the Contributed Entities, the Contributed Interests or, to the extent compliance is not the responsibility of the tenant under a Lease, the Properties, or any part thereof, that has not been corrected.

To Seller's knowledge, Seller has not received from any governmental authority or quasi-governmental authority (including any applicable Valley Ranch association) written notice of any material violation of any laws or restrictions applicable (or alleged to be applicable) to the Real Property, or any part thereof, that has not been corrected, except as may be set forth in Exhibit I.

Promptly, and in any event within three (3) Business Days of receipt thereof, CAXG shall deliver to AOBO any notice from any governmental authority alleging a violation of any order, ruling, statute or other law or regulation that could reasonably be expected to have a Material Adverse Effect.

To AmeriVest Xxxxxxxxx Inc.’s knowledge, AmeriVest Xxxxxxxxx Inc. has not received from any governmental authority written notice of any material violation of any laws (including, but not limited to, environmental laws) applicable (or alleged to be applicable) to the Xxxxxxxxx Park Real Property, or any part thereof, that has not been corrected, except as may be disclosed by the Property Documents for the Xxxxxxxxx Park Property or otherwise disclosed in writing to Purchaser.
Notices from Governmental Authorities. As soon as available, and in any event within ten (10) days of receipt, Tenant shall deliver to Landlord any and all notices (regardless of form) from any Governmental Authority (i) that any Authorization for any Facility or the Medicare certification or Medicaid certification of any Facility is the subject of any enforcement action, revocation or suspension, or is subject to assessment for civil monetary penalties or is the subject of any overpayment claim or recoupment claim or (ii) that action is pending or being considered to revoke or suspend any Authorization or to institute enforcement actions of any kind.
Notices from Governmental Authorities. Prompt written notice of: (i) any citation, summons, subpoena, order to show cause, municipal violation or other order relating to a Project naming Borrower, or a Project a party to any proceeding before any Governmental Authorities, and include with such notice a copy of such citation, summons, subpoena, order to show cause, municipal violation or other order in connection with a claim in an amount exceeding $10,000, (ii) any lapse or other termination of any material license, certificate, permit, franchise or other authorization issued to Borrower or a Project by any Governmental Authorities, (iii) any refusal by any Governmental Authorities to renew or extend any such material license, permit, certificate, franchise or other authorization, (iv) any dispute between Borrower and any Governmental Authorities or Person, which dispute might have a material adverse effect on Borrower or a Project, (v) any order, notice, claim, or proceeding received by, or brought against Borrower, or with respect to a Project or any part thereof, under or in connection with any federal, state or local law or regulation; or (vi) failure of the Premises to comply with applicable building codes.
