Notices from Governmental Authorities. To Seller’s knowledge, Seller has not received from any governmental authority written notice of any material violation of any laws applicable (or alleged to be applicable) to the Real Property, or any part thereof, that has not been corrected, except as may be reflected by the Property Documents or otherwise disclosed in writing to Purchaser.
Notices from Governmental Authorities. Seller has not received from any governmental authority written notice of any violation of any zoning, building, subdivision, fire and safety or business laws, rules or regulations applicable to any portion of the Property that has not been corrected to the standards and satisfaction of such applicable authority.

Seller and Purchaser expressly agree that the Property is sold on an “AS IS” basis only WITH ALL FAULTS OF ANY KIND, INCLUDING ENVIRONMENTAL (whether above, within, or under the Property). SELLER EXPRESSLY DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, AS TO THE FITNESS, ENVIRONMENTAL COMPLIANCE, AREA, CONDITION, QUALITY, QUANTITY, CHARACTER, SIZE, DESCRIPTION, MERCHANTABILITY, OR HABITABILITY OF THE PROPERTY OR OTHERWISE, EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT AND THE WARRANTY DEED AND OTHER CLOSING DOCUMENTS TO BE DELIVERED HEREUNDER. PURCHASER WAIVES ALL WARRANTIES AND REPRESENTATIONS, EXPRESS OR IMPLIED, EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT AND THE WARRANTY DEED AND OTHER CLOSING DOCUMENTS TO BE DELIVERED HEREUNDER.
Notices from Governmental Authorities. Seller has not received from any governmental authority written notice of any material violation of any Laws applicable (or alleged to be applicable) to GenPar, LP or Seller’s Interests that has not been corrected.
Notices from Governmental Authorities. Promptly, and in any event within three (3) Business Days of receipt thereof, CAXG shall deliver to AOBO any notice from any governmental authority alleging a violation of any order, ruling, statute or other law or regulation that could reasonably be expected to have a Material Adverse Effect.

To iStar’s Knowledge, iStar has not received from any Governmental Authority written notice of any material violation of any Laws applicable (or alleged to be applicable) to the Contributed Entities, the Contributed Interests or, to the extent compliance is not the responsibility of the tenant under a Lease, the Properties, or any part thereof, that has not been corrected.

To Seller's knowledge, Seller has not received from any governmental authority or quasi-governmental authority (including any applicable Valley Ranch association) written notice of any material violation of any laws or restrictions applicable (or alleged to be applicable) to the Real Property, or any part thereof, that has not been corrected, except as may be set forth in Exhibit I.
Notices from Governmental Authorities. To AmeriVest Xxxxxxx Inc.’s knowledge, AmeriVest Xxxxxxx Inc. has not received from any governmental authority written notice of any material violation of any laws (including, but not limited to, environmental laws) applicable (or alleged to be applicable) to the Kellogg Building Real Property, or any part thereof, that has not been corrected, except as may be disclosed by the Property Documents for Kellogg Building or otherwise disclosed in writing to Purchaser.
Notices from Governmental Authorities. As soon as available, and in any event within ten (10) days of receipt, Tenant shall deliver to Landlord any and all written notices (regardless of form) from any Governmental Authority (i) that any Authorization for any Facility is the subject of any investigating enforcement action, revocation or suspension, or is subject to assessment for civil monetary penalties or is the subject of any overpayment claim or recoupment claim or (ii) that action is pending or being considered to revoke or suspend any Authorization or to institute enforcement actions of any kind.
Notices from Governmental Authorities. To Seller's knowledge, as of the Effective Date Seller has not received from any governmental authority written notice of any material violation of any laws applicable (or alleged to be applicable) to the Real Property, or any part thereof, that has not been corrected, except as may be reflected by the Property Documents or otherwise disclosed in writing to Purchaser. If and to the extent any estoppel certificates received by Purchaser from the Tenant under the Lease contain express statements that are inconsistent with the information contained in any of the foregoing representations and warranties by Seller, Purchaser shall have the right to terminate this Agreement and the Earnest Money shall be rexxxxxx to Purchaser. If Purchaser does not elect to terminate this Agreement, then said representation(s) and warranty(ies) of Seller shall be automatically revised to be consistent with the applicable estoppel certificate without liability on the part of Seller. Additionally, if Purchaser makes a claim against Seller for breach of a representation and warranty under this Agreement and Seller indemnifies or otherwise compensates Purchaser in connection therewith, and if the claim by Purchaser against Seller relates to matters for which there is or may be a claim against a third party under any warranties, guaranties, indemnities or other claims (including, without limitation, for workmanship, materials and performance) assigned by Seller to Purchaser pursuant to this Agreement, then Purchaser agrees that Seller shall be subrogated to Purchaser's position with respect to all claims against such third parties, and Purchaser shall reasonably cooperate with Seller in attempting to recover against such third party(ies). The foregoing shall survive Closing.
