Notices of Acceptance and Other Procedural Matters. (a) Unless JCM and the Xxxxxxx Group Representative otherwise agree, in order to accept a Participation Offer, the Xxxxxxx Group members must, on or before the date of execution and delivery by JCM (or any of his Controlled Affiliates or designees), execute and deliver to the Covered Issuer or the third-party referred to in Section 3.1(a), as the case may be, all of the agreements, instruments and other documents required to be executed and delivered by JCM (or any of his Affiliates or designees) in connection with the exercise of the relevant Acquisition Right; provided that the representations, warranties, covenants, conditions and other terms and provisions thereof are substantially identical on a per share or per security basis as the terms and conditions of any such agreements, instruments and other documents required to be executed and delivered by JCM (or any of his Controlled Affiliates or designees), subject to any variations customary in similar transactions to reflect differences in the sizes of participations and other differences in the particular circumstances of such participants.
