Obligation to Assist. The Contractor shall provide all reasonable assistance to the Company or the independent body authorized by the Company in carrying out any inspection or audit pursuant to this Section 16. The Company shall be responsible for its own costs, or the costs incurred by the outside independent body designated by the Company, incurred toward carrying out such inspection or audit, unless, in the case of any such audit, that audit reveals that the Contractor is not compliant with the terms of this Agreement, in which case the Contractor shall reimburse the Company for all of its additional reasonable costs incurred, provided such non-compliance is material.
Obligation to Assist. I will assist the Company in every proper way to obtain, and from time to time enforce, United States and foreign Proprietary Rights relating to Company Inventions in any and all countries. To that end I will execute, verify and deliver such documents and perform such other acts (including appearances as a witness) as the Company may reasonably request for use in applying for, obtaining, perfecting, evidencing, sustaining and enforcing such Proprietary Rights and the assignment thereof. In addition, I will execute, verify and deliver assignments of such Proprietary Rights to the Company or its designee. My obligation to assist the Company with respect to Proprietary Rights relating to such Company Inventions in any and all countries shall continue beyond the termination of my employment, but the Company shall compensate me at a reasonable rate after my termination for time actually spent by me at the Company’s request on such assistance.

The Service Provider shall provide all reasonable assistance to the Principal or the independent body authorized by the Principal in carrying out any inspection or audit pursuant to this Section XII. The Principal shall be responsible for its own costs, or the costs incurred by the outside independent body designated by the Principal, incurred toward carrying out such inspection or audit, unless, in the case of any such audit, that audit reveals that the Service Provider is not compliant with the terms of this Agreement, in which case the Service Provider shall reimburse the Principal for all of its additional reasonable costs incurred, provided such non-compliance is material.

Obligation to Assist. 4.1 The Processor commits to assist the Controller in ensuring compliance with its legal obligations pursuant to Articles 32 to 36 under the GDPR taking into account the nature of the processing and the information available to the Processor. In this regard the Processor shall provide assistance upon a timely request from the Controller.. In the event the Processor is of the opinion that a Controller’s request or instruction infringes the GDPR, the Processor will immediately notify the Controller. This assistance provided by the Processor to the Controller shall be subject to reasonable compensation.
4.2 Upon the Controller’s request, the Processor shall inform the Controller about the modalities of its Personal Data’s processing and shall during normal business hours and upon reasonable notice (whereby a notice period of twenty (20) business days always shall be deemed reasonable) grant access to the processed Personal Data and to all documents, buildings, systems, software, hardware, databases, installations and infrastructure necessary to enable the Controller to verify compliance with this Data Processing Agreement.
4.3 Upon the Controller’s request, the Processor shall accept and cooperate during audits and inspections of the processing of the Controller’s Personal Data so that the Controller is able to verify whether the Processor complies with its obligations following this Data Processing Agreement and the applicable data protection laws (GDPR and national data protection laws) relevant for the fulfilment of this Data Processing Agreement. The Controller may itself carry out these audits and inspections or mandate an independent third party that is approved by the Processor thereto. If the Controller mandates a third party, such third party shall agree to be bound by confidentiality obligations that are no less protective than those set out in Article 3 of the Data Processing Agreement.
4.4 The Processor shall without undue delay transfer to the Controller any Data Subject’s request or question in connection with the (processing of) Personal data. The Controller shall decide on the response to be given in that regard. On request of the Controller, the Processor shall assist and support the Controller in responding to such data subject’s requests insofar reasonably possible for the Processor. In particular, the Processor shall, if and to the extent that it falls within its technical capabilities and powers under the Data Processing Agreement, comply...
Obligation to Assist. Pursuant to Articles 32 to 36 of the GDPR, both Parties commit to mutually provide relevant and necessary assistance to the other Party where that does not comprehend a direct sole responsibility of one Party and it is relevant to ensure the observance of Personal Data Protection as well as the reply to any Supervisory Authority or a Data Subject exercising his/ her Rights under the law. This includes also (as per article 28 of the GDPR), the obligation by the Processor to inform the controller if, under its perspective, a provided instruction infringes the GDPR ruling.
Obligation to Assist. The AsBo shall provide all reasonable assistance to the Principal or the independent body authorized by the Principal in carrying out any inspection or audit pursuant to this Section XVIII.
