Obligations Survive. Employee’s obligations under Sections 8 and 9 shall survive any termination of his employment with the Company.
Obligations Survive. The obligations or duties imposed upon the A/E under the agreement shall survive any termination or closeout of the agreement.
Obligations Survive. Despite any termination under this Article IX (Default, Enforcement and Termination) each Party agrees that certain rights and obligations (whether contingent or matured, absolute or not), as set out in Section 11.5 (Survival) of each Party existing immediately before the termination shall survive such termination. Where Metrolinx terminates this Agreement pursuant to Section 9.4 (Termination Without Cause by Metrolinx), it shall remain responsible for all costs to which it is obligated under this Agreement up to the termination date. Notwithstanding a Purchaser’s termination of its participation in a Procurement or in this Agreement under this Article IX (Default, Enforcement and Termination), the Purchaser shall continue to be bound by the terms and conditions of any Purchase Agreement which may have been executed by it prior to such termination and any termination of a Purchase Agreement by the Purchaser shall be made only in accordance with the terms of the Purchase Agreement.
Obligations Survive. Any termination of this Agreement shall be without prejudice to the rights of either Party against the other accrued or accruing under this Agreement prior to termination.
Obligations Survive. The obligations or duties imposed upon the CM under the agreement shall survive any termination or closeout of the agreement.
Obligations Survive. The Member’s obligations under this Section 7 shall survive any early termination of the Advisory Period with the Company.
Obligations Survive. All obligations (whether contingent or matured, absolute or not) existing immediately before an Investor ceases to be an Investor under Section 3.03 or a termination under Section 2.06 shall survive such withdrawal or termination.
Obligations Survive. Any obligation under the Transaction Documents to pay the Creditor amounts of money as costs, or on account of a loss that the Creditor may have suffered, is a continuing and independent obligation and survives even if the relevant Transaction Document is terminated.
Obligations Survive. Employee's obligations under this Section D shall survive any termination of employment with the Company.
Obligations Survive. The obligations of each party in this Article V shall survive the termination or expiration of this Agreement.
