Obligations to Company. Employee agrees to maintain in strict confidence, and agrees not to use, disclose, reproduce or publish, except to the extent necessary in the course of the Employee’s performance of services for the Company and/or as otherwise authorized by Company, any Confidential Subject Matter owned by the Company or held in confidence by the Company for any third-party, including without limitation, all Confidential Subject Matter disclosed and to be disclosed by Employee to the Company.

Obligations to Company. If the Executive becomes entitled to a distribution of benefits under this Agreement, and if at such time the Executive has outstanding any debt, obligation, or other liability representing an amount owing to Company, then Company may offset such amount owed to it against the amount of benefits otherwise distributable. Such determination shall be made by the Company.
Obligations to Company. Employee acknowledges and reaffirms his fiduciary obligations to the Company, including but not limited to the duty not to misappropriate any confidential information or business opportunities of the Company. The payments due Employee under this Agreement may be conditioned upon Employee’s reaffirmation of such obligations, and may be applied as a set-off to any damages which the Company may incur as a result of any breach by Employee of such obligations.
Obligations to Company. Employee shall diligently, and to the best of his ability, perform all such duties incident to his position and other duties as may be assigned by the Company's President and Chief Executive Officer. The Company shall be entitled to all of the benefits and profits arising from or incident to the work, services and advice rendered by the Employee relating to the work performed for the Company. The Employee shall make all information available to the Company that relates to the Company's business of which he has any knowledge and shall not use any such information or the benefits of any such information for his personal profit or that of any third party. The Employee agrees to use his best efforts to promote the interests of the Company including, where appropriate, the publication of articles in medical and scientific journals and the participation in medical and scientific seminars and symposiums relating to the business and affairs of the Company and/or his efforts performed for and on behalf of the Company. A list of Employee's initial job duties is attached as Exhibit B.
Obligations to Company. At the time benefits are payable to the Participant or Beneficiary pursuant to Article 2, any amount due to the Company from the Participant may be deducted from such benefits. Such determination shall be made by the Committee.

Obligations to Company. With respect to the Work, Subcontractor is bound to Company to the same extent Company is bound to Owner and General Contractor under any Contract Documents between Company and Owner or General Contractor, and Subcontractor assumes toward Company all obligations and responsibilities which Company assumes toward Owner or General Contractor. Further, Subcontractor shall bind every sub-subcontractor to the provisions of this Agreement insofar as the same shall be applicable to the sub-subcontractor’s work. Subcontractor shall be fully responsible to Company for the acts or omissions of its sub-subcontractors, and of persons either directly or indirectly employed by them.

Obligations to Company. All obligations of any Shareholder (or any person who would be an heir or descendant if he or she were not living or his or her spouse), or any entity in which he or she has any interest (except through ownership of securities listed on a national securities exchange), to Company listed as to amount, payment schedule and obligor on Schedule 2.11 hereto.

  • Obligations to the Company During his Employment, the Executive (i) shall devote his full business efforts and time to the Company, (ii) shall not engage in any other employment, consulting or other business activity that would create a conflict of interest with the Company, (iii) shall not assist any person or entity in competing with the Company or in preparing to compete with the Company and (iv) shall comply with the Company’s policies and rules, as they may be in effect from time to time.
