Officer Agreements. The Officer Agreements in the forms attached hereto as Exhibit C-1 through C-2 shall have been executed by the proposed respective parties thereto (and such parties shall not have advised the Buyer that they intend to breach any such agreements) and delivered to Buyer.
Officer Agreements. Both BancPlus and FTC shall take such actions as are reasonably necessary to terminate, effective immediately prior to the Effective Time, the agreements between FTC and the respective executives set forth in Section 6.17 of the FTC Disclosure Schedules pursuant to the execution of the memorandum agreements required by Section 7.3(g) of this Agreement as a condition to Closing. The termination and liquidation of such agreements shall be made consistent with the provisions of Section 409A of the Code for termination and liquidation of a plan in connection with a change in control event under Section 409A of the Code, so as to avoid any additional tax, interest or penalties in connection with the termination and liquidation of such agreements.
Officer Agreements. MMM shall have provided to GLNC evidence in writing indicating consent and commitment of MMM officers to assume the officers' positions of GLNC pursuant to the provisions of Section 7.6.
Officer Agreements. V. Xxxxxxx Xxxx shall have entered into the agreements set forth in Paragraph 5.01(f) hereof.
Officer Agreements. The President and Chief Operating Officer of Company Bank, the Executive Vice President and Chief Financial Officer of Company Bank and the Vice President/Internal Auditor of Company Bank each shall have entered into an agreement with Buyer Bank in the forms set forth in Exhibits A, B and C, respectively, to this Agreement.
Officer Agreements. Concurrently with the execution and delivery of this Agreement, First Kansas shall cause to be delivered to Acquiror:
(a) a consulting agreement providing for aggregate payments of $160,000, all in the form of Exhibit B, signed by Xxxxx X. Xxxxxx, which such agreement shall become effective at the Effective Time; and
(b) a stay bonus agreement providing for an aggregate payment of $50,000 made in two installments, in the form of Exhibit C signed by Xxxxx X. Xxxxxxx, which such agreement shall become effective at the Effective Time.
Officer Agreements. The Officer Agreements shall remain in full force and effect.

Officer Agreements. As of the Closing Date, each agreement between Seller (or any of its affiliates) and any person who is actively involved in the Business of TFS will be effectively terminated without TFS incurring any obligation, cost or expenses.
