Officer’s Certificates Clause Samples
An Officer’s Certificates clause requires a company’s officer to formally certify certain facts or compliance with specific obligations under an agreement. Typically, this involves the officer providing a signed statement confirming that conditions precedent have been met, financial statements are accurate, or that the company is in good standing. This clause serves to provide assurance and documented evidence to the other party, reducing risk by ensuring key representations are verified by a responsible corporate official.
