Ongoing Support. Following expiration of the period set forth in Section 5.1, iGST may elect to purchase additional support and maintenance services from Coreum at Coreum's then-current hourly rate plus reasonable expenses. Alternatively, iGST may purchase annual support and maintenance services at Coreum's then-current annual rates, payable in advance in quarterly installments. iGST may cancel such services upon receipt of Coreum's invoice for any semiannual installment or at any time upon ninety (90) days prior notice to Coreum, and receive a pro rata refund of any prepayments for the cancelled period. Coreum's rates are subject to change at Coreum's sole discretion upon thirty (30) days' advance notice for any period not then currently paid for by iGST.
Ongoing Support. Subject to Section 9.4, Provider shall provide to Company, and Company shall pay the costs of, the following support in relation to any actual or potential divestments: (i) Assist Company in planning, preparing and implementing any transition or changes related to the Services as a result of such divestment; (ii) Perform infrastructure changes as a result of such divestment; (iii) Perform increased data and physical security as a result of such divestment; and (iv) Perform increased disaster recovery planning.

Ongoing Support. (a) Upon commencement of the operation of Shorewood's Project(s), KAI shall continue to assist with the expansion of operations. (b) KAI will further provide assistance with any operational issues that arise, including the identification of sources of raw materials, labor and equipment. With over 15 years experience in the China market, KAI is well positioned to assist with the establishment of accounting, billing and collection procedures, and will provide such assistance. (c) KAI will utilize its comprehensive network in order to assist Shorewood with the identification of suitable management personnel.

Ongoing Support. For so long as a Customer has a software license for the R2 Product, all softwarebug fixes” to the R2 Product that are released by R2 to correct safety and regulatory issues will be provided by R2 to VTAL free of charge and installed by VTAL on the VTAL Workstation free of charge.
Ongoing Support. For the Term of this Agreement the Licensor must at its own expense, except as otherwise provided by this Agreement, in good faith promptly and regularly supply to the Licensee assistance, within thirty (30) days of a request for same, or such shorter period where a more immediate response is reasonably necessary in the opinion of the Licensee including (but without limitation): (a) advice on the technical characteristics of the Technology and potential processes used to manufacture the Products; (b) operating manuals relating to special tools, machinery and other equipment suitable for use in the manufacture of the Product to ensure the full exploitation of the License granted under this Agreement; and (c) except where prohibited by US Federal Laws, regulations or mandates, all details of all Licensor’s Intellectual Property and other developments in the Licensor’s Intellectual Property which become known to, owned by or Licensed to the Licensor including (but without limitation) general information concerning the commercialization of the Technology and manufacture of the Product and the use of the Intellectual Property and all changes in Intellectual Property previously supplied.
Ongoing Support. Licensor shall provide Licensee ongoing support as reasonably necessary after commissioning of the Equipment. As a part of such support, Licensor will advise and consult with Licensee regarding the use, maintenance and operation of the Equipment, including by making available a qualified technician available at Licensee’s facility in Italy. In connection with the provision of such support services, Licensee shall bear all travel, transportation, accommodation, food and beverage and similar costs associated with such services plus a per diem charge to be agreed upon by Licensor and Licensee. As a part of this support, for critical situations where the Equipment is not operational, Licensor will use reasonable commercial efforts to make available a qualified technician upon five (5) business daysprior notice, at the Licensee’s facility in Italy.
