Operational Agreement. Both parties agree that within 90 days of closing an operational partnership agreement shall be in place, inclusive of employment agreements for principal officers of the Seller. Buyer and Seller have to date negotiated most of the terms of the agreement and will use their best faith efforts to complete and ratify said agreement. In the event of a failure to complete an agreement Seller retains the right to purchase the shares sold to the Buyer for an equal amount of consideration expended by the Buyer.
Operational Agreement. (a) The Trustee and Lloyd’s must enter into an Operational Agreement governing the methods and operational practices to be employed in carrying out the terms of this deed and specifying the fees which may be charged by the Trustee to Lloyd’s.
(b) It will be a term of the Operational Agreement that the Operational Agreement may only be varied by agreement in writing between Lloyd’s and the Trustee.
(c) The Operational Agreement takes effect subject to this deed and has no effect on any rights or obligations of any person arising out of this deed.
Operational Agreement. 7.1 Licensee and Licensors will be required to comply with all relevant provisions of the first amendment to the Operational Agreement regarding the Trademarks of each Licensor. The present Agreement is without prejudice to the Operational Agreement. In the event that any term of the present Agreement contradicts any term of the Operational Agreement, the term of the Operational Agreement shall prevail.
7.2 The strategy and positioning of the Trademarks shall be determined pursuant to the terms of the Operational Agreement.
Operational Agreement a. The Agency and the Ministry shall develop an Operational Agreement that defines the operational relationship between the Ministry and the Agency. The Operational Agreement shall address, but not be limited to: governance; accountability and responsibility arrangements and relationships; delivery expectations and reporting requirements for the programs the Agency delivers on behalf of the Ministry, which will include program development, program delivery and reciprocal performance expectations; financial arrangements; reporting; and audit and review arrangements.
b. The Agency and the Ministry shall review the Operational Agreement a minimum of every five (5) years or as this MOU is reviewed and updated to ensure that it remains current.
Operational Agreement. CONTRACTOR shall provide the following elements of this Scope of Work:
2.1. Coordinate ASIST/safeTALK/BSBB planning meetings with all identified trainers.
2.2. Provide logistical and clerical support for the trainings.
2.3. Identify and schedule training facility to include a training room that accommodates 20-30 people with smaller breakout rooms for 12-15 people.
2.4. Ensure that the training facility has general liability or commercial liability insurance coverage.
2.5. Prepare and disseminate flyers regarding trainings.
2.6. Market ASIST, safeTALK, and BSBB in Placer County.
2.7. Prepare the workbox for the training that includes pens/pencils, masking tape, overhead projector pens, workbooks, nametags, and sign-in sheets.
Operational Agreement. This is an Operational Agreement for the purposes of the GIA Deed.
Operational Agreement. A Business Case Analysis (BCA) review was recently conducted on the ESM operation, evaluating number of meals fed, and cost of operations above normal MWR patronage. As a result of the BCA review, it has been determined that the service provided to the ESM patrons is the most cost effective meal delivery method. MWR will ensure ESM Sailors continue to have access to nutritious dining opportunities, with hours of operation allowing maximum access to patrons, especially for evening and weekend meals. When Culinary Specialists or other military personnel are assigned to the ESM operation, MWR will ensure both general military and in-rate training opportunities are provided. A separate MOA with Chief of Naval Personnel (PERS 704) addresses reimbursement of subsistence. All services provided under this MOA are authorized services that fall within the program scope of MWR as defined in CNICINST 1710.3.

Operational Agreement. 13.1. In the event that an Opportunity is awarded to the Team Leader ("the Awarded Opportunity"), the Parties shall enter into an operational agreement (i.e sub-contractor agreement) on terms and conditions substantially the same as contained in this Agreement.
13.2. In addition to the obligation specified in clause 13.1, the Parties agree to the inclusion of the following provisions:
13.2.1. The Team Member will:
13.2.1.1. render the Services competently, diligently and to the best of its ability, and further in accordance with any levels of service required in terms of the relevant Opportunity Schedule (if applicable);
13.2.1.2. not sub-contract the provision of any Services or the supply of any Products or otherwise assign or transfer any of its obligations in terms hereof, without the prior written consent of the Team Leader, which shall not be unreasonably withheld;
13.2.1.3. make available sufficiently qualified and experienced personnel for the purpose of rendering the Services and providing the Products, and retain the same personnel for the duration of each Specific Teaming Agreement/operational agreement and to the extent that such personnel are required to be replaced, ensure that such replacement personnel are no less skilled or qualified;
13.2.1.4. direct all its invoices to the Team Leader and shall not be entitled to invoice the Client directly, with all invoices to be submitted by the Team Leader to the Client;
13.2.1.5. be bound by the terms and conditions of the Response to Opportunity (as submitted by the Team Leader) and the Opportunity Agreement as set out in the Team Member’s response to the Team Leader;
