Organization, Existence and Good Standing of Cxxxx Subsidiaries. Each Cxxxx Subsidiary is a corporation duly organized, validly existing and in good standing under the laws of its respective jurisdiction of incorporation and has all necessary corporate power to own its properties and assets and to carry on its business as presently conducted. Each Cxxxx Subsidiary is duly qualified to do business as a foreign corporation and is in good standing in each jurisdiction where the character of the property owned or leased by it or the nature of the activities conducted by it makes such qualification necessary, except where the failure to be so qualified and in good standing would not reasonably be expected to have a Material Adverse Effect. Cxxxx has made available to Acquiror true and complete copies of the minute books and the certificate of incorporation, bylaws and other governing documents of each Cxxxx Subsidiary.
