Organization of Aeroriente. Aeroriente is a company duly incorporated and validly existing under the applicable laws of the Republic of Colombian, and has full powers to conduct its business as currently conducted. Aeroriente is not immersed in an event of insolvency, default in payments, bankruptcy, and is not a party to any insolvency proceeding, or to any proceeding of reorganization and restructuring in favor of its creditors.
