(e) The execution, delivery and performance by the Buyers of this Agreement, and each other agreement, document and instrument contemplated by this Agreement and the consummation of the transactions contemplated hereby, do not and will not result in a breach of, constitute a default under (or event which, with notice or lapse of time or both, would constitute a default under), conflict with, violate, accelerate any obligation under or give rise to a right of termination or cancellation of any agreement to which any of the Buyers is a party.
