Gamespace VIE is a company duly organized, validly existing and in good standing under the Laws of the PRC.

The US Buyer is in good standing under the laws of the State of Delaware and the Canadian Buyer is validly existing under the laws of the Province of Nova Scotia. Each Buyer has all corporate or company power and authority to own or lease all of its properties and assets and to conduct its business as currently conducted, and each are duly qualified and in good standing as a foreign corporation authorized to do business in each of the jurisdictions in which the character of the properties owned or held under lease by it or the nature of the business transacted by it makes such qualification necessary, except where the failure to be so qualified or licensed would not have a Material Adverse Effect on either US Buyer or Canadian Buyer.
Organization of the Buyers. Solon is a German Aktiengesellschaft duly organized, validly existing, and in good standing under the laws of Germany. I-SOL is a German Gesellschaft mit beschränkter Haftung duly organized, validly existing, and in good standing under the laws of Germany.
