Wxxxx Fargo Bank, National Association is a national banking association, duly organized, validly existing and in good standing under the laws of the United States and is duly authorized and licensed under applicable law to conduct its business as presently conducted.
Organizations and Good Standing. (a) The Seller, HEICO and each Seller's Company is a corporation duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation, with full corporate power and authority to conduct its business as it is now being conducted, to own or use the properties and assets that it purports to own or use, and to perform all its obligations under Seller's or Seller's Companies' Contracts. The Seller, HEICO and each Seller's Company is duly qualified to do business as a foreign corporation and is in good standing under the laws of each state or other jurisdiction in which either the ownership or use of the properties owned or used by it, or the nature of the activities conducted by it, requires such qualification.

The Company is a corporation duly organized, validly existing and in good standing under the Laws of the State of Delaware with corporate power and authority to own and operate its properties and to carry on its business as now conducted, which consists of the gathering, purification, transportation, storage and distribution of water solely in the State of Delaware. The Company is a wholly owned subsidiary of Artesian Resources Corporation, a corporation duly incorporated and validly existing in good standing under the laws of the State of Delaware (the “Corporation”).

The Company (a) is a corporation duly organized, validly existing and in good standing under the Laws of the State of New Hampshire, (b) is duly qualified and in good standing as a foreign corporation authorized to do business in every jurisdiction where the failure to so qualify would have or would reasonably be expected to have a Material Adverse Effect and (c) has the requisite corporate power and authority to own its properties, to lease the properties it operates as a lessee and to carry on its business as now conducted and as proposed to be conducted. The Company: (i) is owned 100% by Aquarion Water Company, which is 100% owned by Aquarion Company, and: (ii) as of the date hereof, has no Subsidiaries.
Organizations and Good Standing. Bio-American Capital Corp. is a corporation duly organized, validly existing and in good standing under the laws of the State of Nevada. It has the corporate power to own its own property and to carry on its business as now being conducted and is duly qualified to do business in any jurisdiction where so required except where the failure to so qualify would have no material adverse effect on its business.

MMI, MM--RM, and MM--KY are corporations duly organized, validly existing and in good standing under the laws of the State of Colorado, with all requisite power and authority to carry on the business in which they are engaged in all the states and local jurisdictions in which they operate, to own the properties they own and to execute and deliver this Agreement and to consummate the transactions contemplated in this Agreement. MMRD, L&W, and LWC are limited liability companies duly organized, validly existing and in good standing under the laws of the States of Colorado, Colorado and Kentucky, respectively, with all requisite power and authority to carry on the business in which they are engaged in all the states and local jurisdictions in which they operate, to own the properties they own and to execute and deliver this Agreement and to consummate the transactions contemplated in this Agreement.

The Seller has full corporate power and authority to own, lease and operate its properties and conduct its business, and is duly qualified to transact business and is in good standing in every jurisdiction in which the business conducted by it makes such qualification necessary.

O’Pak, Pro Pawn and Xxxxx are limited partnerships duly organized, validly existing and in good standing under the laws of the State of Texas, with all requisite power and authority to carry on the business in which they are engaged, to own the properties they own and to execute and deliver this Agreement and to consummate the transactions contemplated in this Agreement.
