Common use of Other Businesses Clause in Contracts

Other Businesses. As long as Executive is employed by the Company, Executive agrees that Executive will not, except with the express written consent of the CEO, become engaged in, render services for, or permit Executive’s name to be used in connection with any business other than the business of Parent, any of its Subsidiaries or any of their affiliates.

Notwithstanding the foregoing, Executive may devote a reasonable amount of his time to civic or charitable activities and the management of his personal investments so long as such activities do not substantially interfere with the performance of his duties and responsibilities for the Company.

Other Businesses. As long as Executive is employed by the Company, Executive agrees that Executive will not, except with the express written consent of the CEOBoard, become engaged in, or render services for, or permit Executive’s name to be used in connection with for any business other than the business of Parent, any of its Subsidiaries or any of their affiliatesaffiliates if such engagement or services would impair or limit Executive’s ability to provide the services contemplated under this Agreement.

As long as Executive is employed by the Company, Executive agrees that Executive will not, except with the express written consent of the CEOBoard, become engaged in, or render services for, or permit Executive’s name to be used in connection with for any business other than the business of Parent, any of its Subsidiaries or any of their affiliatesaffiliates if such engagement or services would impair or limit Executive’s ability to provide the services contemplated under this Agreement; provided, however, that it is expressly agreed and acknowledged that Executive shall not render services for any business that participates in a Competitive Activity.

As long as Executive is employed by the Company, Executive agrees that Executive will not, except with the express written consent of the CEOBoard, become engaged in, render services for, or permit Executive’s name to be used in connection with any business other than the business of Parent, any of its Subsidiaries or any of their affiliates; provided that the preceding clause shall not extend to Executive’s uncompensated service in trade associations or in charitable and non-for-profit activities.

As long as Executive is employed by the Company, Executive agrees that Executive will not, except with the express written consent of the CEOBoard, become engaged in, render services for, or permit Executive’s name to be used in connection with any business other than the business of Parent, any of its Subsidiaries or any of their affiliates. Nothing in this Agreement shall preclude Executive from any involvement with such civic, religious, charitable or non-profit organizations as Executive desires, subject to Executive’s obligations under Section 2(b).
