Other Distributors. Dealer acknowledges that the compensation paid by Vendor and other terms and conditions applicable to adding Members to Vendor's Services may vary among representatives and other distributors of Vendor's Services in Vendor's sole discretion. Dealer agrees that it will have no claim against Vendor as a result of any such variation.
Other Distributors. Supplier has distribution agreements for its BioGlue Surgical Adhesive with [****] covering [****] the EC Countries and [****] in Canada. While these agreements do not grant rights to distribute Company Product in the Field, the contracts themselves do not explicitly prohibit the sale of BioGlue Surgical Adhesive in the Field. Approved applications for BioGlue Surgical Adhesive in the EC Countries and Canada are as follows: BioGlue is indicated for use as an adjunct to standard methods of surgical repair (such as sutures, staples, electrocautery, and/or patches) to bond, seal and/or reinforce soft tissue. BioGlue may also be applied alone to seal and/or reinforce damaged parenchyma when other ligature or conventional procedures are ineffective or impractical. Indicated soft tissues are cardiac, vascular, pulmonary, genitourinary, dural, alimentary (esophageal, gastrointestinal, and colorectal), and other abdominal (pancreatic, splenic, hepatic, and biliary). Additionally, BioGlue is used in the fixation of surgical meshes in hernia repair. For general surgical repair procedures, BioGlue may be used to aid in the sealing, bonding, and reinforcing of parenchymal tissues.
Other Distributors. In the event that an issue arises in any Distributor Territory regarding the Commercialization of Program Products, the Parties shall discuss in good faith a resolution to such issue in a manner consistent with the provisions of this Agreement.
Other Distributors. MONARCH agrees that during the term of this ------------------ Agreement, MONARCH shall not appoint any other person, firm or corporation a MONARCH distributor for resale of the Products to the food industry if such DISTRIBUTOR'S principal office is in the states of Maine, New Hampshire, Vermont, Massachusetts, Connecticut or Rhode Island.
Other Distributors. In the event that Manufacturer receives requests for information relating to, or purchase orders for, the Products from customers or potential customers within the Territory, Manufacturer shall forward such requests or orders to Distributor. Notwithstanding the above, nothing in this Agreement shall prevent Manufacturer's other distributors from selling Products in the Territory, so long as such sales are not solicited in the Territory. In the event that Distributor becomes aware that other distributors of Manufacturer are selling Products in the Territory, and provides Manufacturer written notice thereof, Manufacturer will use Manufacturer's commercially reasonable efforts to limit such sales of Products.
Other Distributors. Supplier reserves the right to appoint one or more other distributors of Products in the Territory and to make (i) calls on or to, and (ii) direct sales of Products to, any customers in the Territory, without compensation of any kind to Distributor. When feasible, 30 days’ prior notice will be given to Distributor of the foregoing activities.
Other Distributors. (1) Distributor acknowledges that Interactive has or may have from time to time in the future other non-exclusive and exclusive distributors throughout the world, including other non-exclusive distributors within the Territory. Both parties realize that in light of Interactive's international distribution of the Software, it is impractical and virtually impossible for Interactive to ensure that its various distributors are selling the Software or performing services only within their respective territories. Accordingly, Distributor agrees that Interactive shall not be liable or responsible in any way if any of its other distributors promote, sell, service, support or otherwise market the Software in the Territory.
(2) For accounts sold by Interactive and/or another distributor within the Territory, if Distributor is involved as the local implementer, Distributor will receive compensation as shall be agreed upon between the distributors involved. In addition,
Other Distributors. It is Manufacturer's intent that there will be only one Distributor involved with a customer or project. If a customer does go out for bids to more than one distributor, then it is the customer's option to award the contract or purchase order.
Other Distributors. LCI hereby explicitly reserves the right, during the term of this Agreement, at any time and for any reason, to retain other distributors in addition to Juno to promote and sell the Marketed Services and to enter into marketing and promotional arrangements with any third party.
Other Distributors. THERMO shall forward to Distributor all inquiries or requests for information regarding, or purchase orders for, Products from Persons within the Territory. THERMO shall not sell Products to any Person outside of the Territory that THERMO knows or should have known intends to ship the same to Persons within the Territory. Notwithstanding the foregoing, nothing in this Agreement shall prevent any authorized distributor of THERMO located in a member state of the European Union that is not part of the Territory from making passive sales into the Territory, nor shall anything in this Agreement prohibit Distributor from accepting passive sales orders for Products from Persons located in member states of the European Union that are outside of the Tively seeking customers for Products outside of the Territory or has not established a branch office or does not maintain a warehouse primarily for the purpose of seeking customers for Products outside the Territory.
