Other Prohibited Activities. Executive acknowledges that Executive’s position at the Company provides Executive with access to highly sensitive information concerning the Company’s lessees, managers, borrowers and operators and their affiliates and leases, operating agreements, management agreements and other contractual agreements with such lessees, managers, borrowers and operators and their affiliates which are critical to the Company’s ability to effectively function and to the properties to be purchased by the Company, and that if Executive were to provide services for such lessees, managers, borrowers and operators and/or their affiliates such services would cause irreparable damages to the Company. Executive shall not during Executive’s employment and the Restricted Period, either directly or indirectly (through another business or person), engage in or facilitate any of the following activities anywhere in the United States or in any location outside the United States where the Company conducts or plans to conduct business: performing services as an employee, director, officer, consultant, independent contractor or advisor of, or investing in, whether in the form of equity or debt, owning any interest or otherwise having an ownership or other interest in any of the Company’s then current lessees, managers, borrowers or operators or any of their respective parent, sister, subsidiary or affiliated entities (other than any such lessee, manager, borrower or operator that, together with its parent, sister, subsidiary and affiliated entities, contributes less than five percent (5%) of the Company’s net operating income (NOI), computed on a pro forma annualized basis consistent with the Company’s most recent supplemental disclosure, and is not in default under any of its agreements with the Company nor has an ongoing dispute with the Company) in any manner, including without limitation as an owner, principal, partner, officer, director, stockholder, employee, consultant, contractor, agent, broker, representative or otherwise. Nothing in this Section 3(c) shall, however, restrict Executive from making an investment in and owning, directly or indirectly, up to two percent (2%) of the common stock of any company whose stock is listed on a national exchange, provided that such investment does not give Executive the right or ability to control or influence the policy decisions of any lessee, manager, borrower or operator or any of its parent, sister, subsidiary or affiliated entities.
Other Prohibited Activities. Ancillary to the grant of the Option, to protect the Company’s goodwill, and in consideration for the grant of the Option and any transfer of Common Stock pursuant to any exercise of the Option by you, by accepting the Option you agree that, in the discretion of the Committee, the Option may be forfeited in whole or in part and/or certain proceeds of exercises under the Option may be recouped pursuant to Section 13.2 if during your affiliation with the Company you engage in fraud, embezzlement or other felony that is detrimental to the Company or any of its Affiliates.
Other Prohibited Activities. In addition to the above, the following actions are prohibited by the Card Brands. User may not: • use any Cardholder data or other transaction data for any purpose not authorized by Autobooks or the Card Brands; • disclose any Cardholder data or other transaction data to any person or entity except for necessary disclosures to affected Cardholders, and through Autobooks to affected Card Brand entities; • provide to Autobooks any inaccurate, incomplete, or misleading information; • fail to provide Autobooks with timely notification of events that have caused or could cause material changes in the User’s ability to fulfill its obligations hereunder, including but not limited to adverse changes in User’s financial health, adverse changes in User’s business conditions or environment, actions by governmental or non-governmental agencies; • transfer financial liability to any Cardholder by asking or requiring Cardholders to waive their dispute rights; • submit, process, or deposit transactions on behalf of another person or entity; • submit transactions for locations outside the United States; • engage in any service or activity that is deceptive, unfair, predatory, or prohibited by one or more Card Brands, or that represents a violation of any applicable law, statute, or regulation; • engage in any activity that may result in undue economic hardship or damage to the goodwill or reputation of Autobooks, the TPSP, Bank, or any Card Brand; • submit any transaction related to any illegal or prohibited activity, including but not limited to money laundering or financing of terrorist activities; • require a Cardholder to mail any postcard or similar device that includes the Cardholder’s account number, Card expiration date, signature, or any other Card account data in plain view when mailed; • request the Card Verification Value 2 (CVV2) data on any paper order form; or • have excessive chargebacks as defined by the Rules.
Other Prohibited Activities. Ancillary to the grant of the Award, to protect the Company’s goodwill, and in consideration for the grant of the Award and any transfer of Common Stock pursuant to the Award by you, by accepting the Award you agree that, in the discretion of the Committee, the Award may be forfeited in whole or in part if you engage in fraud, embezzlement or other felony that is detrimental to the Company or any of its Affiliates.
Other Prohibited Activities. Subrecipient is prohibited from using funds provided herein or personnel employed in the administration of the program for: political activities, inherently religious activities, lobbying, political patronage; and nepotism activities.

Executive acknowledges that her position at the Company provides her with access to highly sensitive information concerning the Company’s principal lessee and its affiliates and leases to such lessee and its affiliates which are critical to the Company’s ability to effectively function and to the properties to be purchased by the Company, and that if Executive were to provide services for such principal lessee and/or its affiliates such services would cause irreparable damages to the Company. Executive shall not during the Employment Term and the Restricted Period, either directly or indirectly (through another business or person) engage in or facilitate any of the following activities anywhere in the United States or in any location outside the United States where the Company conducts or plans to conduct business: performing services as an employee, director, officer, consultant, independent contractor or advisor; or investing in, whether in the form of equity or debt, owning any interest or otherwise having an ownership or other interest or a connection to Kindred Healthcare, Inc. or any of its parent, sister, subsidiary or affiliated entities in any manner, including without limitation as an owner, principal, partner, officer, director, stockholder, employee, consultant, contractor, agent, broker, representative or otherwise (unless Executive becomes a stockholder in Kindred Healthcare as part of a restructuring of Kindred Healthcare where the Company’s stockholders receive Kindred Healthcare stock), provided, however that subsection (c) shall not preclude Executive from owning any equity or debt interest in Kindred Healthcare to which she became entitled by reason of her previous employment by Kindred Healthcare.
Other Prohibited Activities a. I will not use the District system for commercial uses or political lobbying activities or any other illegal act not set forth herein in detail.
Other Prohibited Activities. Any use of the Service that violates this Use Policy or that negatively impacts network security, quality, or integrity is prohibited. Such violations include, without limitation:
a. Unauthorized access to or use of data, systems, or networks, including any attempt to probe, scan, or test the vulnerability of a system or network, or to breach security or authentication measures without express authorization of the owner of the system or network.
b. Unauthorized monitoring of data or traffic on any network or system without express authorization of the owner or network.
c. Interference with Internet service to any user, host, or network, including but not limited to: mail bombing, flooding, or denial of service attacks.
d. Failing to abide by the acceptable use policies of any networks, machines, or services that are accessed through the Service.
e. Forging the header of any transmitted information packet, email, or Usenet posting.
f. Modifying or tampering with any hardware, software, or configuration provided by CDEC including but not limited to routers, switches, and cable modem configuration files.
g. Using manual or electronic means to avoid any limitations established by CDEC or attempting to gain unauthorized access to, alter, or destroy any information relating to any CDEC customer or end-user.
h. Storing any program, utility or file on CDEC servers the use of which would constitute a violation of this policy. (For example, it is a violation to store hacker scripts, IRC bots, or spamming software on CDEC servers.)
i. Disrupting, degrading or otherwise adversely affecting CDEC’s network or computer equipment owned by CDEC or other CDEC Customers.
j. Excessive use of bandwidth that, in CDEC’s sole opinion, places an unusually large burden on the CDEC Service or exceeds normal usage. CDEC has the right to impose limits on excessive bandwidth consumption via any means.
k. Assuming or assigning an CDEC IP address that was not allocated to the user by CDEC.
Other Prohibited Activities. Engaging in any activity that, in UCDN’s sole and absolute discretion, disrupts, interferes with or is harmful to (or threatens to disrupt, interfere with, or be harmful to) the Services, UCDN’s business, operations, reputation, goodwill, Customers and/or Customer relations, or the ability of UCDN’s Customers to effectively use the Services is prohibited. Such prohibited activities include making available any program, product or service that is designed to or could be used to violate this Agreement. In addition, the failure by a Customer to cooperate with UCDN in correcting or preventing violations of this Agreement by, or that result from the activity of, a Customer of the Subscriber is a violation of this Agreement.
Other Prohibited Activities. I further agree that during the same period I will not directly or indirectly own, manage, work for, provide services to, obtain financial interest in, control or participate in the ownership, management or control of, or be employed or engaged by or otherwise affiliated or associated as a consultant, director, agent, independent contractor or otherwise with any business entity that is not engaged in the business of the Company in any market in which the Company conducts business or provides services where such other business entity could utilize or gain a business or economic advantage through the use of Proprietary Information, Trade Secrets, my training by the Company, my relationship with the Company’s customers, suppliers, vendors, clients or investors or prospective customers, suppliers, vendors, clients or investors or the Company’s goodwill.
