Common use of Other Receipts; Good Standing Clause in Contracts

Other Receipts; Good Standing. Parent shall have received copies of the Certificate of Incorporation of the Company, certified by the Secretary of State of the State of Delaware; and Certificates of Good Standing (or their equivalent) from the Secretaries of State of the States of Delaware and Illinois evidencing the good standing (or its equivalent) of the Company in such jurisdictions.

Other Receipts; Good Standing. Parent shall have received (a) copies of the Certificate of Incorporation Incorporation, or similar governing document of the Company, certified by the Secretary of State of the State of Delaware; , and (b) Certificates of Good Standing (or their equivalent) with respect to the Company from the Secretaries Secretary of State of the States State of Delaware and Illinois evidencing from the good standing (or its equivalent) Secretary of State of the Company in such jurisdictionsState of Florida.

Parent shall have received copies a copy of the Certificate of Incorporation of the Company, Company certified by the Secretary of State of the State of Delaware; and Certificates of Good Standing (or their equivalent) from the Secretaries Secretary of State of the States of Delaware and Illinois evidencing the good standing (or its equivalent) of each other state in which the Company in such jurisdictionsis required to be qualified to do business.
