OTHER RELATED AGREEMENTS. 3.1 The Parties acknowledge their respective rights and obligations under:
(a) Agency Agreement no. 3;
(b) The Operator of Last Resort (OLR) Subcontracting Agreement; and
(c) subject to such agreement being entered into, the Co-operation & Collaboration Agreement, (together with the Definitions Agreement) which comprise the “Wales & Borders Agreements”).
OTHER RELATED AGREEMENTS. 3.1 The Parties acknowledge their respective rights and obligations under:
(a) Agency Agreement no. 3;
(b) the Funding and Outputs Agreement; and
(c) the OLR Subcontracting Agreement, which (together with the Definitions Agreement) comprise the “Wales & Borders Agreements”. The Parties acknowledge each of the Wales & Borders Agreements has been drafted to account for its relationship in connection with other Wales & Borders Agreements. However, in the event of any inconsistency between Agency Agreement no. 3, the Funding and Outputs Agreement and the OLR Subcontracting Agreement and the Definitions Agreement and this Agreement, the other Wales & Borders Agreements take precedence over this Agreement.
OTHER RELATED AGREEMENTS. Stanford, SFG and SVCH shall have executed and delivered to Parent and the Company each other Related Agreement to which such Person is to be a party or signatory.
OTHER RELATED AGREEMENTS. MDCM and the Company shall have executed and delivered, to the extent it is a party thereto, an Administrative Services Agreement (the "Administrative Services Agreement"), a Service Xxxx Agreement (the "Service Xxxx Agreement"), a Web Hosting Agreement (the "Web Hosting Agreement"), a License Agreement (the "License Agreement") and a Sublease for Office Space (the "Sublease"), all in form and substance reasonably satisfactory to the Investors.
OTHER RELATED AGREEMENTS. During the term of the MOU, the parties agree to meet and confer regarding a comprehensive Professional Time Off (“PTO”) Policy with all applicable bargaining units; however, such reopener will not result in an increase or decrease to the amount of PTO hours members may earn and must be made by mutual agreement.

(a) any agreements evidencing rights or obligations of Seller or † Management Company with respect to the Purchased Interests or the Seller Obligations;
(b) the Loan Documents and any other agreement under which it has created, incurred, assumed or guaranteed any Indebtedness or under which it has imposed a Lien on any of its assets, tangible or intangible;
(c) The Regulatory Agreements;
(d) The leases relating to the Leased Spaces (the “Space Leases”);
(e) The Personal Property Leases;
(f) any agreement that restricts the ability of † Management Company, any Seller or any Project Partnership to engage in the Business;
(g) any agreement that provides for any payment or benefit in connection with any bonus, “phantom stock” plan or accelerated vesting or funding (such as a “golden parachute”) that would be due upon the execution of this Agreement or the Closing or in connection with the transactions contemplated hereby or any later (i.e. after Closing) sale (including either a sale of assets or a sale of ownership interests), merger or similar transaction involving † Management Company or any Project Partnership or General Partner interest;
(h) any agreements granting to any Person an option or a first refusal, first-offer or similar preferential right to purchase or acquire any of the Purchased Interests; and
(i) any agreements providing for powers of attorney or similar authorizations empowering any Person to act on behalf of any Seller. Seller has delivered or made available to Purchaser a correct and complete copy of each written agreement listed in Schedule D and all amendments thereto. Each such agreement is in full force and effect and is valid, binding and enforceable against † Management Company, the applicable Seller or the applicable Project Partnership and, to Seller’s Actual Knowledge, against the other parties thereto. OTHER RELATED AGREEMENTS. OTHER RELATED AGREEMENTS. Ace shall pay Atrium to cover its set-up costs of Atrium providing a fully functional customized ACE REWARDS platform for use with Ace's customers and/or employees. Atrium shall also provide enhanced Solata marketing and communication modules to the platform at agreed upon customization costs plus added functionality that would allow ACE to re-sell this ACE REWARDS platform to other entities within the promotional products industry as described in paragraph 11 below. All costs incurred by Atrium and to be paid by Ace shall be approved in advance in writing by Ace.
