Other Reports and Inspection. The Company shall furnish promptly to each Shareholder such other reports, financial data and information relating to the Company as such Shareholder may reasonably request and shall require the Accountants to provide to each Shareholder copies of any document related to the Company in the possession of the Accountants as such Shareholder may reasonably request. The Company shall, upon reasonable prior notice and during normal business hours, make available to each Shareholder and their respective professional advisors, from time to time as requested by such Shareholder, all properties, assets, books of account, corporate records, contracts and documentation, if any, relating to employee benefits of the Company, and any other material requested by such Shareholder for inspection and, in the case of books of account, corporate records, contracts and documentation, if any, relating to employee benefits, copying, and shall use reasonable efforts to make available to such Shareholder the Accountants and the key employees of the Company for interviews to verify any information furnished or to enable such Shareholder otherwise to review the Company and its operations. The Company may condition such availability upon the entering into of reasonable and appropriate confidentiality agreements. Notwithstanding the foregoing, the Company will not make available to any Shareholder information provided to the Company on a confidential basis by any other Shareholder without the consent of such other Shareholder.
Other Reports and Inspection. (a) The Company will furnish to Purchasers (a) as soon as practicable after issuance, copies of any financial statements or reports prepared by the Company for, or otherwise furnished to, its stockholders or the Securities and Exchange Commission and (b) promptly, such other documents, reports and financial data as Purchasers may reasonably request. In addition the Company will, upon prior notice, make available to Purchasers or its representatives or designees
(a) all assets, properties and business records of the Company for inspection and/or copying and (b) the directors, officers and employees of the Company for interviews concerning the business, affairs and finances of the Company.

The Company shall furnish promptly to each Member such other reports, financial data and information relating to the Company as such Member may reasonably request and shall require the Accountants to provide to each Member copies of any document related to the Company in the possession of the Accountants as such Member may reasonably request. It will, upon reasonable prior notice, make available to each such holder or such holder's representatives or designees during normal business hours (a) all assets, properties and business records of the Company for inspection and copying and (b) the directors, officers and employees of the Company for interviews concerning the business, affairs and finances of the Company.

The Company, upon reasonable prior notice, will make available to each Covenant Preferred Stockholder or its representatives or designees during normal business hours (a) all assets, properties and business records of the Company for inspection and copying and (b) the directors, officers, employees and public accountant (and by this provision the Company hereby authorizes and instructs said accountants to discuss with such holder and such designees its affairs, finances and accounts and the responses of attorneys representing the Company to inquiries made by the Company on behalf of said accountants in connection with their audit of the financial affairs of the Company) of the Company for interviews concerning the business, affairs and finances of the Company.

(b) Promptly (but in any event within ten (10) days) after the discovery of any material adverse event or circumstance affecting the Company which event or circumstance has, or with the passage of time is reasonably likely to, have a material adverse effect on the Business and Condition of the Company or result in the Company's breach of any material provision of this Agreement, the Company shall deliver a notice to each Buyer specifying the nature and period of existence thereof, and the actions of the Company has taken and/or proposes to take with respect thereto. The Company shall furnish each Buyer receiving such letter with monthly reports updating and describing any developments relating to matters described under this Subsection 5.4(b) and will promptly notify each Buyer of any material developments or changes relating thereto.
(c) Promptly (but in any event within five days) after transmission thereof, the Company shall deliver to each Buyer copies of any material communication from the Company to its shareholders, directors or the financial community at large, and any reports filed by the Company with any securities exchange, the National Association of Securities Dealers, Inc., any state official or agency charged with securities regulation, the Commission, any other Governmental Body and any material correspondence between the Company and any of the foregoing (including, without limitation, any correspondence from any of the foregoing which contains information materially adverse to the Business and Condition of the Company).

Other Reports and Inspection. The Partnership shall furnish promptly to either Partner such other documents, reports, financial data and other information as such Partner may reasonably request. The Partnership shall, upon reasonable prior notice and during normal business hours without unreasonably interfering with normal day-to-day activities of the Partnership and its employees, make available to either Partner or its representatives or designees all properties, assets, books of account, corporate records and contracts of the Partnership, and any other material requested by such Partner, for inspection and, in the case of books of account, corporate records and contracts, copying and shall use its best efforts to make available to such Partner the officers, employees, customers, independent accountants and vendors of the Partnership for interviews to verify any information furnished or to enable either Partner to otherwise review the Partnership and its operations.
