Other Statutes. The procedures of this subchapter shall also be applicable to any transaction described in any statute other than this part that makes reference to this subchapter for the purpose of granting dissenters rights.

Each Employee Plan is in compliance with the Age Discrimination in Employment Act of 1967, as amended, the Americans with Disabilities Act of 1990, as amended, and the Family and Medical Leave Act of 1993, as amended, Uniformed Services Employment and Reemployment Rights Act of 1994, as amended, and all orders, rules and regulations thereunder.

Progress has taken all necessary actions, if any, so that the provisions of Articles 9 and 9A of the NCBCA will not, before the termination of this Agreement, apply to this Agreement, the Merger or the other transactions contemplated hereby. No “fair price,” “merger moratorium,” “control share acquisition,” or other anti-takeover or similar statute or regulation applies or purports to apply to this Agreement, the Merger or the other transactions contemplated hereby.
Other Statutes. Federal and State Statutes, Civil Service, Veterans Preference, etc., provide for hearings in cases of disciplinary actions. The Grievance Procedures of the Agreement also provides for hearings in cases of disciplinary action. Permanent employees may elect to use either procedure, but may not use both.
