Other Understandings Regarding Indemnification. ORG and Contributor will give the other prompt notice of the assertion of any claim or the institution of any action that may expose either party to liability under this Agreement. Neither party will have any obligation to indemnify any person to the extent the liability is caused by such other person’s gross negligence, willful misconduct, or breach of its obligations under this Agreement.
