Our Rights and Responsibilities. 2a We will keep the structure and exterior of your home in repair. 2b We will keep essential installations for the supply of water, gas, electricity, sanitation and heating in repair and proper working order. We will not be responsible for any loss or inconvenience suffered as a result of a failure of supply or service to the premises, supplied by a third party, where such failure is not caused by an act or omission on our part. 2c We will complete repairs which we are responsible for under law. 2d We will follow the terms of the Data Protection Act 1998 and will safely manage and protect any information we hold about you. However, where the law allows us and where it is relevant, we may share this information with other business partners, contractors or statutory agencies. This includes the following laws (but there are others): 2e We may change any of the conditions of this tenancy agreement. (Changing the rent is mentioned in condition 4e.) You will be consulted and asked to agree such changes. 2f If there is a disagreement about the conditions of your tenancy which we cannot sort out with you, the court has the power to make the final decision. 2g We have a right, upon giving you 24 hours’ written notice, to come into your home at all reasonable times to inspect it or to carry out work in your property or an attached property. The Council, our employees, contractors, subcontractors and agents also have this right. (We do not have to give you 24 hours’ notice in an emergency). 2h If you do not let our employees, contractors, or subcontractors into your property after we have given you 24 hours’ written notice
i. apply to the court for an order to allow us to enter your property to carry out work or inspect it (you may also have to pay our costs of going to court); or
ii. in an emergency, tell our employees, contractors or subcontractors to enter your property straight away (in which case we will put right any damage we cause). We may charge you the cost of repairing the damage we caused to get into your home if you knew we needed to enter your property and you refused to let us, our employees, contractors or subcontractors in.
i. give it to you personally;
ii. post it to you at the tenancy address;
iii. deliver it to or leave it at your property; or
iv. give it to someone acting on your behalf (for example a solicitor, parent, son or daughter).

If you provide us with timely, complete, correct and accurate information and we do not then accurately complete a Xxxx Pay Payment from your Designated Xxxx Pay Account or if we fail to cancel a transaction as properly requested or in the correct amount according to your instructions, we are liable for your losses or proximate damages as provided herein. Our sole responsibility for an error will be to correct the error. There are some exceptions to our liability for processing transactions on your Designated Xxxx Pay Account. For example, we will not be liable:
A. If, through no fault of ours, you do not have enough money in your Designated Xxxx Pay Account to make the transfer;
B. If the transfer would go over the credit limit on your overdraft line, if any;
C. If a legal order directs us to prohibit withdrawals or transfers from the Designated Xxxx Pay Account;
D. If circumstances beyond our control such as interruption of telephone service or telecommunication facilities, natural disaster such as fire or flood, or handling of payments by a third party prevent the transfer, despite reasonable precautions taken by us;
E. If you have not provided us with complete and correct information, including without limitation the name, address, account number and payment amount for the Payee on a Xxxx Pay Payment;
F. If you have not properly followed instructions for using the Xxxx Pay Services;
G. If your operating system or software was not properly installed or functioning properly;
H. If you, or anyone authorized by you, commits any fraud or violates any law or regulation; or
I. As otherwise stated in your Account Agreement.

If you provide us with timely, complete, correct and accurate information and we do not then accurately complete a transfer to or from your account or if we fail to cancel a transaction as properly requested or in the correct amount according to our agreement with you, we are liable for your losses or damages as provided in this agreement. Our Rights and Responsibilities. 2.1 You should note that we may (i) deactivate now TV at any time without notice to carry out system maintenance, upgrading, testing and/or repairs; (ii) limit or suspend your now TV access without notice where we believe that such action is appropriate as a result of your use of now TV and/or when you fail to make any payment in accordance with clause 4 or we reasonably believe that you are acting in breach of this Agreement or to comply with any law of regulation; (iii) modify any of the Services (being any of the services which may be accessed through now TV) or any Content; (iv) remove, disable or suspend transmission of any Content which we consider in our sole opinion, breaches any applicable law, regulation or regulatory directive or to be otherwise unacceptable; (v) edit any Content; (vi) change the number of channels available to you on now TV; and (vi) introduce, or amend the amount of, fees and/or amend this Agreement or our operating rules by notice to you, such amendments to take effect 30 days after such notification is made.
Our Rights and Responsibilities. We will provide you with a website template and give you login credentials for editing via your own internet connection. Your content will be monitored but we do not guarantee that the information provided by us, or any other third parties, on your website will be complete or accurate. We may withdraw permission to use your web space if there are reasonable grounds to suspect any breach of any of the terms of this agreement, or if your content is inappropriate.

Our Rights and Responsibilities. 5.1 We will make the Service available to You during the term of the Agreement and will seek to support the Service as set out in the applicable Service Level Agreement.
5.2 We shall not be liable to You for any failure, delay or disruption of or to the Service caused by:
5.2.1 any failure by You to comply with Your obligations under paragraph 4.2, 4.3 or 4.4 of these Special Terms; or
5.2.2 Your Connectivity or any Device;
5.2.3 Your Providers or their service. and You shall not be entitled to receive any Service Credits as a result of such failure, delay or disruption. Our exclusion of liability under this paragraph 5.2 shall be without prejudice to any Service Credits You may be entitled to receive under the applicable Special Terms or Service Level Agreement for any Connectivity We have agreed to provide under a separate agreement.
5.3 We do not make any representations, whether express or implied, about whether the Service will operate in combination with any Customer Apparatus, Device or other equipment, software or service whether provided by You, a Provider or otherwise.
5.4 We will not change the Service in any way that materially reduces its overall functionality or security (based on customary usage in the Territory), except with Your prior written approval. We may make changes to the Service or upgrade the Service, provided that We shall provide advance notice to You of any such change or upgrade if reasonably practicable, but otherwise promptly thereafter.
5.5 In addition to our other rights and remedies under the Agreement, We may suspend the provision of the Service whether in whole or in part where: (i) We reasonably determine that such suspension is necessary to avoid actual or likely harm or damage to, or liability for, Us, 8x8 or You; (ii) You have materially breached the Agreement; and/or such Service is being used in breach of the use policy or, as an alternative, We may place reasonable limitations or restrictions on the use of such Service.
5.6 We may apply an outbound calling bar on any part of the Service if We suspect the Service is being used for any unauthorised, unusual or suspicious purpose.
5.7 We may apply an inbound calling bar on any part of the Service if Your usage exceeds the capacity purchased in relation to that part of the Service.
5.8 None of the foregoing actions by Us shall relieve You of any of Your obligations under the Agreement, except that You shall not be liable for any fees for any suspended Service for the...
Our Rights and Responsibilities. 7.1 We agree to provide:
(a) choice of approved software options at your cost, for client management, product comparison and financial planning purposes, for use by you and Authorised Advisers. We may offset this cost through a software subsidy payable to the Principal, which is notified in writing to the Principal and determined by us from time to time;
(b) professional development programs for Authorised Advisers;
(c) compliance and business training and support for Authorised Advisers. We may provide other assistance at your request, but we reserve the right to charge a fee for this.
7.2 We agree to:
(a) undertake research, and provide a recommended list to you and Authorised Advisers in relation to Financial Products;
(b) remunerate you in respect of the performance of your obligations under this Agreement in accordance with Part 9.
7.3 We acknowledge your right to provide Services to Clients and undertake only to contact Clients:
(a) to deal with any issues, enquiries and customer complaints arising pursuant to, or as a consequence of, this Agreement or the provision of Services;
(b) to deal with any issues and enquiries raised by the Regulator from time to time; or
(c) where necessary, to comply with Applicable Laws.
7.4 We may perform any responsibility or obligation under this Agreement through the appointment of a delegate or sub-contractor.
7.5 We may conduct periodical audits of your or, if applicable, the Authorised Advisers’ compliance with this Agreement and the GP Manual.
