Outside Counsel. The attorney(s) selected by Citizens from the Firm to handle a legal matter in accordance with the Contract and these guidelines.
Outside Counsel. The Manager may consult with legal counsel, accountants and financial or other advisors, and any act or omission suffered or taken by the Manager on behalf of the Company or in furtherance of the interests of the Company in good faith in reliance upon and in accordance with the advice of such counsel, accountants or financial or other advisors will be full justification for any such act or omission, and the Manager will be fully protected in so acting or omitting to act so long as such counsel or accountants or financial or other advisors were selected with reasonable care.
Outside Counsel. If a Party uses Outside Counsel/Paralegals for the litigation, such Litigation Costs will be calculated at the billing rates of the firm's attorneys/paralegals participating in the litigation, times the number of hours worked by such participating attorneys/paralegals.
Outside Counsel. If in connection with the work described herein, VDOT engages outside legal counsel approved by the Attorney General (as opposed to utilizing the services of the Office of the Attorney General), VDOT will give CVTA notice of the engagement so as to ensure that no conflict of interest may arise from any such representation.
Outside Counsel. Other than outside labor law specialists whose work is governed by subsection 2(b), the City Attorney is authorized to hire outside legal specialist to perform work for the City without the need to have such work approved by resolution provided that: (i) the total amount for each matter does not exceed $5,000; and (ii) the legal services are billed showing the date services were rendered, describing the services and providing the time expended on each date. In the event that the City Attorney determines that additional work of a legal specialist is necessary for a particular matter that would exceed the $5,000 limit, then the City Attorney shall obtain authority by written resolution of the City Commission for those additional services. A copy of the bills for such outside counsel shall be included with the City Attorney’s xxxx for City Attorney expense reimbursement and shall be charged to the City's budget appropriation for Outside Legal Services", Account No. 0000000 51 43410.
Outside Counsel. Each signatory to this Agreement acknowledges and agrees that such signatory has been represented by separate outside counsel in connection with the transactions contemplated hereby and further acknowledges and agrees that Xxxxxx & Xxxxxx L.L.P. has acted as counsel solely to GPM and not to the Partnership, the General Partner or any of the other Limited Partners other than GPM in connection with the transactions contemplated hereby. Each signatory to this Agreement acknowledges and agrees that the interests of the Limited Partners (as a group) have not been represented by outside counsel in connection with the formation of the Partnership or the negotiation and execution of this Agreement and the other Transaction Documents.
Outside Counsel. Evidence that the reasonable fees and out-of-pocket expenses due and payable to counsel to the Lender and Eximbank have been fully paid.

Opinions prepared by consultant law firms construing the statutes or Constitution of the State of New York do not constitute the view of the State unless the prior written approval of the New York State Office of the Attorney General is obtained. Requests for said approval shall be submitted to the Solicitor General, Division of the Appeals and Opinions Bureau, Department of Law, and Contract Approval Unit, Civil Recoveries Bureau, NYS Department of Law, The Capitol, Albany, NY 12224.
