Packing, Shipping and Delivery. 2.1. Seller shall: (a) properly xxxx, xxxx and ship the Equipment in accordance with the requirements of Buyer, the involved carriers, and, if applicable, the country of destination; packaging shall be suitable for the type of good including, where appropriate, long-distance transport, moisture-proof, waterproof, shockproof, rustproof, resistant to rough loading and unloading and consistent with industry practices and standards, so as to prevent the Equipment from being damaged and cause the Equipment to be delivered properly to Buyer; (b) route shipments in accordance with Buyer’s instructions; (c) make no charge for handling, packaging, storage, transportation or drayage of the Equipment, unless otherwise stated in this Agreement; (d) provide with each shipment packing slips with Buyer’s contract and/or order number and date of shipment marked thereon; (e) properly mark each package with a label/tag according to Buyer’s instructions; (f) promptly forward the original bill of lading or other shipping receipts with the correct classification and identification of the Equipment shipped in accordance with Buyer’s instructions and carrier’s requirements; (g) mark each package and identify the Equipment on packing slips, bills of lading and invoices (when required) to enable Buyer to easily identify the Equipment purchased; (h) at the request of Buyer, provide electronic versions of documents and information related to the shipping and delivery of the Equipment herein; and (i) promptly notify Buyer in writing if Seller is unable to comply with the shipping instructions in this Agreement. Buyer may charge Seller for damage to or deterioration of the Equipment resulting from improper packing or packaging.
2.2. Title and risk of loss to the Equipment under this Agreement shall be transferred from Seller to Buyer, and delivery shall take place, at the location and in accordance with the delivery terms specified in Buyer’s purchase order. If no delivery terms are specified in the order, delivery shall be DDP (Incoterms 2010) Buyer’s premises or other place or places designated by Buyer in Buyer’s purchase order.
2.3. Prior to and during the shipment of the Equipment purchased hereunder, Seller agrees to furnish to Buyer sufficient warning and notice in writing (including appropriate labels on the Equipment, containers and packing) of any hazardous material that is incorporated into the Equipment, together with such special handling instructions as may be necessary ...
Packing, Shipping and Delivery a) Supplier shall properly xxxx, xxxx, and transport the Supplies and provide all documentation required by Trelleborg, by the carriers involved and by the authorities of the country of destination.
b) For the purchase of raw materials the Supplier will provide Trelleborg with the identity and volume/amount of all ingredients (and any accepted changes in the ingredients) accompanied by the appropriate material safety data sheets (“MSDS”), physical and chemical reports of analyses or tests conducted to ensure that raw materials delivered, or raw materials used in the items delivered, conform to the specifications required by the Purchase Contract and prevailing law.
c) Unless otherwise specified in the Purchase Contract, Supplies shall be delivered DDP Trelleborg’s address, as set forth on the face of the Purchase Contract (in accordance with the latest version of the ICC INCOTERMS)
d) Time is of the essence and the agreed dates of delivery are binding. If Supplier, for any reason, does not comply with Trelleborg's delivery schedule or any other requirement, Trelleborg may, in its sole discretion apply appropriate compensatory or corrective measures at the expense of the Supplier.
e) In the event that the Supplier fails to meet an agreed date of delivery Trelleborg may in its discretion choose to either (i) apply late delivery penalties of 5 % of the purchase sum for that part of delivery which is delayed per commenced week of delay, up to a maximum sum of 25% of the total purchase sum for all supplies under the Purchase Contract or (ii) hold Supplier liable for all costs, losses and expenses incurred by Trelleborg as a result of the delayed delivery.

All Goods shall be properly packed, marked and shipped in accordance with the requirements of the common carrier transporting such Goods and of the applicable Purchase Order and in a manner which, unless otherwise agreed, will permit the securing of the lowest transportation rates. All shipments to be forwarded on one day via one route shall be consolidated and shipped to protect the lowest transportation charge. Seller shall route shipments in accordance with Buyer's T&C. Unless otherwise provided in the applicable Purchase Order, no charge shall be made by Seller for containers, crating, boxing, bundling, dunnage, drayage, or storage. Each packing slip, bill of lading and invoice shall bear the applicable Purchase Order number. A numbered master packing slip shall accompany each shipment.
b. Time is of the essence with respect to delivery of the Goods and performance of Services. Goods shall be delivered, and Services performed, by the applicable and agreed upon Delivery Date. Unless otherwise agreed by Xxxxx in writing, all shipments are DDP Buyer’s designated facility (Incoterms 2020). Seller shall furnish sufficient labor and management forces, plant, and equipment and shall work such hours (including night shift, overtime, holiday work, without additional cost to Buyer) as may be required to assure timely delivery and performance. Seller must immediately notify Buyer if Seller is likely to be unable to meet a Delivery Date. At any time prior to the Delivery Date, Buyer may, upon notice to Seller, terminate or change a Purchase Order, or any portion thereof, for any reason, including, without limitation, for the convenience of Buyer or due to failure of Seller to comply with Xxxxx’s T&C, unless otherwise noted. Shipping costs for Goods on back order shall be paid only at the rate which would have been applicable had the complete order been shipped at one time. All excess costs shall be borne by Seller. Buyer reserves the right to return, shipping charges collect, all Goods received in advance of the delivery schedule, unless prior permission has been granted in writing by Xxxxx.

6.2 Supplier shall affix to each Product some marking that complies with FAA/American Engineering part-marking requirements and is otherwise acceptable to American. With each shipment, Supplier will include a packing list and appropriate certification paperwork indicating the Products contained in such shipment by serial number (if applicable) and listing the date of shipment. Kits shall include component part numbers. Products that are not serial number tracked shall be designated, on the packing list, by description and quantity. An example of the packing list is included as Exhibit E. Unless special packaging is required, Supplier shall package all Products for shipment in compliance with ATA Specification 300, Revision 17, Category III.
6.3 If Supplier has an allocation shortage, at a minimum, Supplier will secure monthly (LRU) deliveries for American to be no less than the amount proportional to the American aircraft percentage of the total number of aircrafts committed to have Supplier installed. Such proportion will be calculated based on Purchase Orders in process at Aircell at the time any such shortage occurs.

6.3. Such proportion will be calculated based on Purchase Orders in process at Gogo at the time any such shortage occurs.
6.4. Exhibit A will set forth the mutually agreed-upon delivery requirements and installation schedule for the Retrofit A/C.
6.5. Upon receipt of the Shipsets at the FOB Destination, it is American’s option to inspect the Shipsets to ensure receipt of all Components in working condition. American shall notify Gogo of any discrepancies therein within thirty (30) days following receipt thereof and any Shipset as to which Gogo does not receive timely notice of discrepancy will be deemed accepted. Gogo will ship any defective or missing Components to AA within 72 hours following receipt of such notice.

Supplier shall; (a) ship the material covered by this Purchase Order complete unless instructed otherwise; (b) ship to the destination designated in this Purchase Order; (c) ship according to routing instructions given by Globe; (d) place the Purchase Order number on all subordinate documents; (e) enclose a packing memorandum with each shipment, and when more than one package is shipped, identify the one containing the memorandum; (f) mark this Purchase Order number on all packages and shipping papers; (g) tender invoices as specified in the Purchase Order, showing Purchase Order number through routing and weight; (h) render separate invoices for each shipment within twenty four (24) hours after shipment; (i) forward bills of lading and shipping notices with invoices; (j) mail invoices, bills and notices to the address shown on this Purchase Order if prepayment of transportation charges is authorized. Supplier shall include the transportation charges from the F.O.B. point to the destination as a separate item on the invoice stating the name of the carrier used. All material shall be suitably packed, marked and shipped in accordance with the requirements of common carriers in a manner to secure lowest transportation costs, and no additional charges shall be made to Globe therefore unless otherwise stated on the face of this Purchase Order.
