Participant in Securities Depository. (a) SSB is, and shall remain for the term of this agreement, a member of, or participant in, the Securities Depository (or an affiliate of such a member or participant). (b) SSB represents that it (or if SSB does not act as Agent Member, one of its affiliates) shall make all dividend payments on the Preferred Shares available in same-day funds on each Dividend Payment Date to customers that use SSB or an affiliate of SSB as Agent Member.
