The Participating Members clause defines which individuals or entities are recognized as active participants within a group, organization, or agreement. Participating Members. Participating Members are divided into Creator Members and Community Members as subclasses. They do not have voting rights in the General Assembly but are entitled to participate and debate in the General Assembly.

Participating Members. RN acknowledges that Participating Members are Upromise Members and, notwithstanding anything contained in this Agreement to the contrary, Upromise reserves the right to communicate with such Participating Members in the normal course of its business. Both Parties acknowledge that Participating Members are not RN Members and that RN may not initiate direct communication with such members, except to the extent specifically agreed to by Upromise in writing.
Participating Members. Each Professional Employee of the District covered by this Agreement may participate in the Sick Leave Bank. To participate an eligible Professional Employee shall contribute days earned from his or her own Sick Leave Days. Sick Leave days thus contributed shall be deducted from the individual's Sick Leave entitlement. The days donated to the Sick Leave Bank will be from the current school year. At the close of the contract year, unused Sick Leave days will remain in the Sick Leave bank.
Participating Members. A Participating Member is an Industry Member that contributes at least Ten Thousand dollars (US$10,000) in cash during a Participation Period. A company may join the BAPVC as a Participating Member only if it is a start-up and upon invitation only. A Participating Member is eligible for an option to negotiate a non-exclusive license on commercially reasonable terms to be determined.
Participating Members. Set forth in Exhibit B of this Agreement are instructions for accessing and downloading the list of Premier members (“Participating Member(s)”), who shall have the right to purchase Products in accordance with this Agreement. The list of Participating Members (the “Membership Roster”) may be amended by Purchasing Partners from time to time and Purchasing Partners reserves the right to provide the Membership Roster in other suitable forms. The Parties hereto acknowledge that Participating Members may include entities/facilities located throughout the United States and its territories, including without limitation Puerto Rico. The Parties hereto also acknowledge that Participating Members may include entities/facilities which are accessing the benefits of this Agreement through participation in the group purchasing programs operated by Purchasing Partners’ affiliate, Provider Select, LLC (“Provider Select”) rather than Purchasing Partners itself. Such entities/facilities shall nonetheless be deemed Participating Members under this Agreement. Seller shall be 3 of 17 *Confidential Treatment Requested responsible for downloading and cross-referencing the current Membership Roster to Seller’s customer records at least monthly. New Participating Members added to the Membership Roster shall be eligible to participate under this Agreement upon the relevant date set forth in the Membership Roster. Seller shall stop providing the pricing set forth herein to entities removed from the Membership Roster within thirty (30) days following the applicable date of removal set forth in the Membership Roster. Seller does not currently have a reporting process for generating a report of any Participating Members who are purchasing Products through a group purchasing organization other than Purchasing Partners (such notice is referred to as the “Dual Membership Notice”). Should Seller have a reporting process for generating a report of any Participating Members who are purchasing Products through other group purchasing organizations in the future, Seller will discuss and negotiate in good faith the generation and reporting of the Dual Membership Notice with Purchasing Partners.
Participating Members. ‌ To participate in the CCA, interested property owners must be a member of the Association with CCAA coverage (see Appendix E, Section 3) and must enroll their property by completing and submitting a CI/CP (see Appendix F), which will include specific Conservation Measures (see all Conservation Measures in Appendices C and D) the Participating Member commits to implementing. The CI/CP must be approved by the Association and signed by the parties. With respect to both federal and non-federal properties, the Participating Member agrees to implement Conservation Measures either on or off these properties as provided in the CI/CP, consistent with the conservation Strategy. The Participating Member will: 1) Comply with the applicable terms and conditions of the CCA 2) Implement all Conservation Measures identified within the CI/CP 3) Monitor as agreed to within the Conservation Measures and as described in their CI/CP 4) Report results of monitoring annually to the Association as described in their CI/CP 5) Notify the Association of incidental take of Covered Species following listing as described in Section 8.5 of the parent CCAA.
