Participation Terms. I understand and agree to adhere to all the guidelines stated herein which have been fully discussed with me and agree to voluntarily sign this contract. I also agree to truthfully report any problems, changes, or concerns that occur during the length of involvement with the program. I further understand that my active participation in the program’s services allows the Case Manager to support my household’s ability to achieve housing stability.
Participation Terms. (a) In respect of the Relevant Debt and subject to the terms and conditions hereof, Grupo Alpha and the Creditors each severally and not jointly agree to negotiate in good faith the remaining terms, conditions and Restructuring Documents necessary to implement and effect the Restructuring based on, and consistent with, the Concurso Mercantil Plan.
(b) Unless and until this Agreement is terminated in accordance with Section 8 hereof, each Creditor shall, subject to the terms and conditions hereof:
(i) Execute, in respect of its Relevant Debt claims, the Concurso Mercantil Plan and consent to the submission of the Concurso petition and the Concurso Mercantil Plan as a plan de reestructura previo in the Concurso Mercantil Proceeding;
(ii) execute, in respect of its Relevant Debt claims, the documents that are deemed necessary or advisable to appoint the Conciliator that shall be determined together by the Company and the Majority Participating Creditors, for the Restructuring Proceeding of each of the Company and the Subsidiaries;
(iii) file, in respect of its Relevant Debt claims, the proofs of claims necessary to have its Relevant Debt claims duly recognized under the applicable documents according to the rankings, preferences and amounts that correspond to such Relevant Debt;
(iv) execute and deliver the proof of claim and the Concurso Mercantil Plan, as well as any amendments or modifications thereto, that are reasonably necessary or requested by the Mexican federal judge presiding over the Concurso Mercantil Proceeding in order to either (x) issue the Claims Judgment or (y) approve the Convenio Concursal; provided, in each case, that such amendments or modifications do not have a materially negative impact on such Creditor not otherwise approved by such Creditor;
(a) vote its Relevant Debt claims, whether beneficially owned or for which it now or hereafter serves as the investment advisor, sub- advisor, or manager for beneficial owners thereof, to accept the Concurso Mercantil Plan, including by participating in any consent solicitation commenced by Grupo Alpha for such purpose, and (b) not change or withdraw (or cause to be changed or withdrawn) such vote unless the Concurso Mercantil Plan is modified in any respect that has a materially negative impact on any Creditor not otherwise approved by such Creditor; and,

Participation Terms. In the event any participation is purchased and sold pursuant to Sections 2.2, 2.3, or 2.5: (i) it shall be purchased and sold based on a price equal to the purchasing Creditor's Proportionate Share of the undiscounted principal held by the selling Creditor; (ii) it shall include in such purchase, in addition to the principal purchased all interest and other entitlements associated therewith; (iii) such participation shall not affect the selling Creditor's obligations under the applicable Lending Agreement; (iv) such selling Creditor shall remain solely responsible to the other parties to such Lending Agreement for the performance of such obligations; and (v) the Company, Guarantors, and all Obligors, if applicable, and the other Creditor parties to such Lending Agreement shall continue to deal solely and directly with such selling Creditor in connection with such selling Creditor's rights and obligations under such Lending Agreement; provided, however, the purchasing participant shall be entitled to vote its proportionate interest under the appropriate Lending Agreement with respect to requiring the relevant Creditor Group to take or omit to take any action under such Lending Agreement and shall be bound by all decisions made under or in connection with the applicable Lending Agreement. The owner of the facility in which a participation is purchased shall issue a Participation Certificate in the form of Exhibit C attached hereto to the party purchasing the participation.
