Parties to act reasonably. (a) Where reference is made in the Agreement to a Party’s decision, approval, refusal, consent, agreement, act, etc., such shall not be taken, given or withheld unreasonably or unfairly, unless otherwise expressly stated. (b) In all cases the Party claiming a breach of the Agreement by the other Party, shall be obligated to make commercially reasonable efforts to mitigate its costs, losses or damages that have occurred or that may occur as a result of such breach.
