Past Patent Costs. Licensee will bear all Patent Costs incurred prior to the term of this Agreement (“Past Patent Costs”) in an amount not to exceed ******. Licensee must send payment for such Past Patent Costs to The Regents within thirty (30) days of Licensee’s receipt of an invoice for these costs.
Past Patent Costs. Licensee shall reimburse Caltech for *** expenses (including attorneys’ fees) incurred by Caltech prior to the Effective Date for the filing, prosecution and maintenance, interference or reexamination proceedings, of Exclusively Licensed Patent Rights. Caltech shall provide appropriate documentation in support of amounts requested for reimbursement hereunder. All amounts owed under this Section 4.2 shall be due within *** of the Effective Date of this Agreement.
Past Patent Costs. Company shall pay to UWMRF an amount equal to the patent filing and prosecution costs incurred by UWMRF prior to the Effective Date and directly related to the Licensed Patents. Company shall pay such amount within thirty (30) days of receipt of invoice detailing such costs. The Parties have stipulated that the amount of patent filing and prosecution costs incurred by UWMRF prior to the Effective Date and as of January 14, 2020 are $60,370.35 for the Licensed Patents listed in Exhibit 1. Company shall pay such amount according to the following:
a. A first payment of Past Patent Expenses in the amount of 25% of the total accrued shall be due twelve months (12) months following the Effective Date of this Agreement.
b. A second payment of Past Patent Expenses in the amount of 25% of the total accrued shall be due twelve months (24) months following the Effective Date of this Agreement.
c. The remaining balance of the Past Patent Expenses shall be due thirty-six (36) months following the Effective Date of this Agreement.
d. If occurring earlier than the due dates listed above for Past Patent Expense reimbursement, the entire balance of Past Patent Expenses shall be paid on the date of acquisition of Company by merger, sale of all (or substantially all) of Company’s assets to which this Agreement pertains, or other sale of equity or reorganization resulting in a change of 50% or more in the ownership of Company’s stock after the closing of the initial round.
Past Patent Costs. Licensee shall reimburse Caltech for [***] percent ([***]%) of all reasonable expenses (including attorneys’ fees) incurred by Caltech prior to the Effective Date for the filing, prosecution and maintenance, interference or reexamination proceedings, of the Exclusively Licensed Patent Rights. All amounts owed under this Section 4.3 shall be due within [***] after Licensee receives Caltech’s invoice. Past patent costs as of the Effective Date are [***] dollars and [***] cents ($[***]), of which Licensee shall reimburse Caltech [***] dollars and [***] cents ($[***]).
Past Patent Costs. Within thirty (30) days following the Effective Date and receipt by GenVec of supporting documentation from Pitt, GenVec shall reimburse Pitt for Pitt's reasonable out-of pocket expenses to date in the filing and prosecution of the Patent Rights.
Past Patent Costs. Company shall reimburse Mayo for all documented, out-of-pocket patent costs associated with IP Rights actually incurred by Mayo prior to the Effective Date, in an amount not to exceed [***] dollars ($[***]). Company will pay such patent costs within thirty (30) days of receipt of an invoice and supporting documents from Mayo.
Past Patent Costs. Company will reimburse JHU, for all costs associated with the preparation, filing, maintenance, and prosecution of PATENT RIGHTS incurred by JHU prior to the EFFECTIVE DATE of this Agreement according to schedule in Exhibit A.
Past Patent Costs. Licensee shall reimburse Caltech for all reasonable expenses (including attorneys’ fees) incurred by Caltech prior to the Effective Date for the filing, prosecution and maintenance, interference or reexamination proceedings, of the Exclusively Licensed Patent Rights and Improvement Patent Rights. All amounts owed under this Section 4.4 shall be due on or before April 30, 2016. Past patent costs as of the Effective Date are approximately [***]. Promptly following the Effective Date, Caltech shall provide Licensee with an invoice for the past patent costs reimbursable by Licensee, including copies of Caltech’s records evidencing such past patent costs.
Past Patent Costs. Licensee will reimburse The Regents and Einstein for all Patent Costs incurred prior to the term of this Agreement (“Past Patent Costs”). Licensee must send payment for such Past Patent Costs to Einstein for UC Case 2007-526 and The Regents for all other cases, within thirty (30) days of Licensee’s receipt of an invoice for these costs.
Past Patent Costs. The reimbursement of Past Patent Costs payable under Paragraph 3.9 shall be due within thirty (30) days of the following dates: (a) Six months from the LICENSE EFFECTIVE DATE:1/3 Past Patent Costs (b) Twelve months from the LICENSE EFFECTIVE DATE:1/3 Past Patent Costs (c) Eighteen months from the LICENSE EFFECTIVE DATE:1/3 Past Patent Costs
