Payment of Additional Royalties. If such accounting firm correctly concludes that additional royalties were owed during such period, Millennium shall pay the additional royalties, with interest from the date originally due at the prime rate plus 2% per annum, as published in THE WALL STREET JOURNAL, Eastern United States Edition, on the last xxxxxxxx xxx xxxxxxxxx xxxx xxxx, within sixty (60) days after the date on which such accounting firm's written report is delivered to Millennium. If, and only if, the amount of the underpayment is greater than five percent (5%) of the total amount owed, then Millennium shall reimburse BZL for all costs related to such audit.

The royalty shall not be cumulative based on the number of patents or claims covering a product or service, but rather shall be capped at the rate set forth in Exhibit A.
