Payment of Study Fee. The Clinical Site will invoice Sponsor, through CRO, for amounts due hereunder in accordance with the Budget. Invoices shall be issued following a calculation basis with an overview of performed Study visits and Study procedures; such basis shall be prepared by CRO and/or Sponsor. Pharmacy payments shall be listed separately (as invoiceables/conditional procedures) from other items. CRO and/or Sponsor shall be responsible for providing Clinical Site with the calculation basis and overviews of due payments in such time to enable meeting payment timelines set-out in this Agreement. Subject to the timely completion by the Clinical Site of its obligations under this Agreement, CRO shall pay undisputed amounts under each such invoice within thirty (30) days of its receipt thereof. Payments under this Agreement are pass-through payments from Sponsor to the CRO. Invoices and Study payments will be sent by post or bank transfer in accordance with the instructions set forth in Exhibit A. 4.2

CRO shall pay amounts under each such invoice within forty-five (45) days of the date the invoice is issued by the Institution.
