Payment or Dividend Restrictions. Except as set forth in Section 7.05 or described on Schedule 5.20 or as expressly permitted by the terms of this Agreement, none of the Consolidated Companies is party to or subject to any agreement or understanding restricting or limiting the payment of any dividends or other distributions by any such Consolidated Company.

(e) Section 7.04(d) shall be deleted and replaced in its entirety by the following:
