Payments Contrary to Law. To indemnify, or make an advance to, the Indemnitee in respect of any Expenses or any other cost, expense, loss or liability whatsoever, where such indemnity or payment is prohibited by, or inconsistent with, any applicable law (including, without limitation, the Companies Law) or the rules of any applicable regulatory body.
Payments Contrary to Law. Anything in the Agreement to the contrary notwithstanding, this Agreement is not intended and shall not be construed to require any payment to Xxxxxxx which would violate any federal or state statute or regulation, including without limitation the “golden parachute payment regulations” of the Federal Deposit Insurance Corporation codified to Part 359 of title 12, Code of Federal Regulations; provided, however, the Company shall exercise commercially reasonable efforts to obtain the approval of the FDIC and any other applicable regulatory agency to make the payments provided herein or, to the extent that the regulatory agencies will not approve payment in full, such lesser portion as shall be acceptable to the regulatory agencies.

This Section 9 shall have supremacy over all other provisions of this Agreement.
