Pending or Threatened Proceedings. On the Closing Date, no action, suit or other proceeding shall be threatened or pending before any court or governmental agency in which it is sought to restrain or prohibit, or obtain damages or other relief in connection with, this Agreement or the transactions contemplated herein.

To the knowledge of the Applicant, there are no notices, actions, suits, or proceedings, either pending or threatened, against or affecting the Applicant by any court or administrative officer or agency which (i) involve an alleged violation by Applicant of State of Maine or federal law; (ii) allege a debt or other obligation owed by Applicant to the State of Maine or the Federal Government; or (iii) might result in any material adverse change in the business or financial condition of the Applicant.
Pending or Threatened Proceedings. 8.2.1 To the best of the Seller’s knowledge, information and belief, no claim, legal action, proceeding, suit, litigation, prosecution, investigation (government or otherwise), enquiry, mediation or arbitration is pending or threatened by or against any Group Company (or any person for whose acts or defaults a Group Company may be vicariously liable). To the best of the Seller’s knowledge, information and belief, the Group Companies are not involved in any disputes which are likely to give rise to any legal proceedings.
8.2.2 To the best of the Seller’s knowledge, information and belief, there are no circumstances which are likely to give rise to any material investigation, enquiry or enforcement proceedings by any government agency (including in relation to Tax).
Pending or Threatened Proceedings. As at the Signature Date and so far as AngloGold is aware, no such Claim that would fall within paragraph 13.1 above is pending or threatened in writing by or against Nufcor.
Pending or Threatened Proceedings. There are no pending or, to Buyer’s or Buyer Bank’s Knowledge, threatened legal, administrative, arbitration or other proceedings, claims, actions or governmental or regulatory investigations of any nature against Buyer or Buyer Bank, other than litigation in the ordinary and usual course of Buyer’s and Buyer Bank’s business.
