Performance at Lessee’s Expense. Lessee acknowledges and confirms that Lessor may collect its reasonable third-party out-of-pocket attorneys’ fees, costs and expenses in connection with (a) any modification, amendment and termination of this Lease requested by Lessee (and not already contemplated in this Lease); (b) any release or substitution of Property requested by Lessee; (c) the procurement of consents, waivers and approvals with respect to the Property or any matter related to this Lease requested by Lessee; (d) the review of any assignment or sublease or proposed assignment or sublease or the preparation or review of any subordination or non‑disturbance agreement requested by Lessee; (e) the collection, maintenance and/or disbursement of reserves created under this Lease or the other Transaction Documents (following an Event of Default); and (f) inspections reasonably required to make certain determinations under this Lease or the other Transaction Documents following Lessor’s reasonable belief of a breach under this Lease or any other Transaction Documents.

Performance at Lessee’s Expense. Lessee acknowledges and confirms that Lessor may impose reasonable administrative, processing or servicing fees (not to exceed the amount of $5,000 per instance), and collect its reasonable and actual attorneys’ fees, costs and expenses in connection with (a) any extension, renewal, modification, amendment and termination of this Lease requested by Lessee; (b) any release or substitution of Properties requested by Lessee; (c) the procurement of consents, waivers and approvals with respect to the Properties or any matter related to this Lease requested by Lessee; (d) the review of any assignment or sublease or proposed assignment or sublease or the preparation or review of any subordination or non‑disturbance agreement requested by Lessee; (e) the collection, maintenance and/or disbursement of reserves created under this Lease or the other Transaction Documents (following 4849-3174-9992.2 STORE/Synalloy A&R Master Lease Agreement 7 Properties in OH, PA, SC, TN and TX File No. 7210/02-475 an Event of Default); and (f) inspections required to make certain determinations under this Lease or the other Transaction Documents following Lessor’s reasonable belief of a breach under this Lease or any other Transaction Documents.

Performance at Lessee’s Expense. Lessee acknowledges and confirms that Lessee shall reimburse Lessor for Lessor’s actual out-of-pocket third party costs and expenses, including its reasonable attorneysfees and costs, incurred by Lessor in connection with (a) any amendment of this Lease requested by Lessee; (b) any substitution of Properties pursuant to Section 14.04; (c) the delivery of consents, waivers and approvals with respect to the Properties or any matter related to this Lease requested by Lessee; (d) the review of any assignment or proposed assignment or the preparation or review of any subordination or non-disturbance agreement; (e) the collection, maintenance and/or disbursement of reserves created under this Lease or the other Transaction Documents; (f) inspections following the occurrence of an Event of Default or if Lessor has a reasonable basis to believe that a default has occurred hereunder; and (g) Lessee’s noncompliance with Legal Requirements, including without limitation, encroachments onto properties adjoining any of the Properties.

The maximum fee that Lessor may charge with respect to any individual request by Lessee shall be Two Thousand and 00/100 Dollars ($2,000.00), which maximum amount shall increase at a rate of 2% per annum after the Effective Date. Lessee shall not in any case be liable to Lessor for any such costs and expenses necessitated by Lessor’s own activities or transactions or required by Lessor’s Lenders or funding sources.
Performance at Lessee’s Expense. Lessee acknowledges and confirms that Lessor may recover from Lessee all out-of-pocket Costs incurred by Lessor in connection with (a) the procurement of consents, waivers and approvals with respect to the Property, (b) the review of any assignment or sublease or proposed assignment or sublease or the preparation or review of any subordination, non-disturbance agreement, (c) the collection, maintenance and/or disbursement of reserves created under this Lease, and (d) inspections required to make certain determinations under this Lease. Lessee hereby acknowledges and agrees to pay all such Costs within twenty (20) days after Lessor’s delivery of an invoice.
Performance at Lessee’s Expense. The cost and expense ------------------------------- of performing or complying with any and all of the Obligations shall be borne solely by Lessee, and no portion of such cost and expense shall be, in any way and to any extent credited against any installment on or portion of the Obligations.
