Performance Certification. The Borrower will notify the Department when the Project is completed and operation commenced on or before the date set out in Section 2.1(m).
Performance Certification. Grantee must complete its Project by the date identified in Section 4 (Deployment Timeline) of its Qualitative Attributes Form. In addition, prior to the disbursement of any State funds, Grantee must, subject to confirmation and verification by the Office in accordance with Section 3.2 (Field Testing):
3.1.1. Certify to the Office that the Project was completed as proposed/represented in the Application, including but not limited to that:
3.1.1.1. The final installation was installed in and/or otherwise facilitates Broadband service at or above 25/3 Broadband in each of the applicable Targeted Service Areas identified in the Application/forming the basis of the Project; and
3.1.1.2. The final installation was installed in and/or otherwise facilitates Broadband service at or above 25/3 Broadband to the same number of Broadband Units (homes, schools, businesses) located within Targeted Service Areas identified in the Application/forming the basis of the Project.
3.1.2. Identify the total number of Broadband Units to which Broadband service is available in each Targeted Service Area identified in the Application/forming the basis of the Project.
3.1.3. Supply the Office with geographic information system (“GIS”) data in a form mutually acceptable to both the Office and Grantee demonstrating specifically where broadband infrastructure for which grant funds have been utilized, in whole or in part, has been installed, regardless of whether such infrastructure actually serves any customers in Targeted Service Area(s) forming a basis of the Application at the time such mapping data is supplied to the Office. Such GIS data must enable the Office to determine which specific homes, schools, and businesses within each Targeted Service Area forming the basis of the Project have access to 25/3 Broadband as a result of the Project.
Performance Certification. Operation, Maintenance and Use of System.
Performance Certification. Promptly after the end of each Performance Period and as soon as quarterly financials are estimable, the Board shall certify the degree to which the applicable Performance Goals have been achieved and the amount of Quarterly Bonus payable to Executive hereunder. Any Quarterly Bonus required to be made under this Schedule 1 shall be paid in cash on a fully-vested basis by the Company as soon as possible after the end of the applicable Performance Period, but in any event not later than 30 days after the end of the Performance Period.
Performance Certification. Provided always that the Broadband Access Reliance Network is operated and maintained (including all necessary repairs, replacements and other services as paid for by Reliance pursuant to the Broadband Access Services Contract and Technical Support Services) to the standard required under the relevant Documents, Vendor warrants that the Work shall, at all times during the Product Warranty Period and during the first [***] that the Technical Support Services is in effect (provided, however, that if Reliance terminates the Technical Support Services for cause prior to the expiration of such [***] period, then the Vendor’s obligations under this Section shall nevertheless continue for the remaining balance of such [***] period ), comply and perform in accordance with the Specifications (the “Performance Warranty”). In the event of any breach of the Performance Warranty attributable to the Work not being performed in accordance with the Documents during the Product Warranty Period, or because of Vendor’s failure to comply with its obligations under the Broadband Access Services Contract and Technical Support Services(an “Attributable Breach”), Vendor shall provide, at no cost to Reliance, all Products, Features, Services and other items of Work necessary such that the Broadband Access Reliance Network complies and performs in accordance with the Specifications.
Performance Certification. Grantee must complete its Project by the Completion Date identified in its Application. In addition, prior to the disbursement of any State funds, Grantee must, subject to confirmation and verification by the Office in accordance with Section 3.2 (Field Testing): Certify to the Office that the Project was completed as proposed/represented in the Application, including but not limited to, that: The final installation Facilitates Broadband service at or above 25/3 Broadband or 100/20 Broadband, whichever is applicable, in each of the applicable Targeted Service Areas identified in the Application/forming the basis of the Project; and The final installation Facilitates Broadband service at or above 25/3 Broadband or 100/20 Broadband, whichever is applicable, to the same number of Broadband Units (homes, schools, businesses) located within the Targeted Service Areas forming the basis of the Project as represented in the Application. Identify the total number of Broadband Units to which Broadband service is available in each Targeted Service Area identified in the Application/forming the basis of the Project. Supply the Office with geographic information system (“GIS”) data in a form mutually acceptable to both the Office and Grantee demonstrating specifically where Broadband Infrastructure for which grant funds have been utilized, in whole or in part, has been installed, regardless of whether such Broadband Infrastructure actually serves any customers in Targeted Service Area(s) forming the basis of the Application at the time such mapping data is supplied to the Office. Such GIS data must enable the Office to determine which specific homes, schools, and businesses within each Targeted Service Area forming the basis of the Project have access to 25/3 Broadband or 100/20 Broadband, whichever is applicable, as a result of the Project.
Performance Certification. Grantee must fully finish its Project(s) by the Completion Date in accordance with and consistent with any deadlines established in the NOFA. Grantee’s Project(s) must be deployed and implemented in a manner that complies with all applicable terms, conditions, requirements, and limitations set forth in this Agreement, and as proposed/represented in the Application.
Performance Certification. After the completion of a project utilizing, in whole or in part, grant funds, a grantee must:
(1) Certify to the office that the project was completed as proposed in the original application, including but not limited to that the final installation was installed in or otherwise facilitates broadband service at or above 25 megabits per second of download speed and 3 megabits per second of upload speed in each of the applicable targeted service areas identified in the original application, and identify the total number of homes, schools, and businesses actually receiving broadband service in each targeted service areas identified in the original application as a result of the project.
(2) Attest that any claimed, allowable expenditures are true and accurate, were directly related to the installation of broadband infrastructure that facilitates broadband service at or above 25 megabits per second of download speed and 3 megabits per second of upload speed in eligible targeted service areas forming the basis of the project, and were properly allocated in accordance with the terms, conditions, and requirements of the NOFA or grant agreement.
(3) Supply the office with updated GIS data in accordance with subrule 22.6(2).
Performance Certification. After the completion of a project and not less than 60 days prior to four years from the date of issuance of the NOFA, or 60 days prior to four years from the appropriation of grant funds, whichever is earlier, a grantee must:
(1) Certify to the office that the project was completed as proposed in the original application, including but not limited to that the final installation facilitates broadband service at or above the download and upload speeds specified in Iowa Code section 8B.11 in each of the applicable targeted service areas identified in the original application, and identify the total number of broadband units actually receiving broadband service in each of the targeted service areas identified in the original application as a result of the project.
(2) Attest that any claimed, allowable expenditures are true and accurate, were directly related to the installation of broadband infrastructure that facilitates broadband service at or above the download and upload speeds specified in Iowa Code section 8B.11 in eligible targeted service areas forming the basis of the project, and were properly allocated in accordance with the terms, conditions, and requirements of the NOFA or grant agreement.
(3) Supply the office with updated GIS data in accordance with subrule 22.6(2).
Performance Certification. As soon as practicable following the end of each Performance Period and prior to any award payments for the Performance Period, the Committee will certify the Company’s performance with respect to each performance measure used for that Performance Period. For each Performance Period, individual incentive awards will be calculated and paid to each Participant who is still employed with the Company (subject to the special provisions below for employees who terminate employment due to death, disability or retirement) as soon as practicable following the Committee’s certification of performance for the Performance Period. The amount of a Participant’s incentive award to be paid based on each individual performance measure will be calculated based on the following formula: Participant’s Target LTIP Award × Percentage of target award to be paid based on performance measure results × Relative weighting of performance measure = Amount of incentive award based on performance measure results The incentive amounts to be paid to the Participant based on each performance measure will be summed to arrive at the Participant’s total incentive award payment for the Performance Period. Payments from the Plan to a Participant, if any, will be made in cash (less any amount necessary to satisfy applicable withholding taxes); provided, however, that (i) if any portion of the award is in the form of Performance Shares, the applicable Performance Shares award agreement will specify whether the award will be settled in cash, shares of the Company’s common stock or a combination of cash and stock; and (ii) at the Participant’s election, receipt of all or part of an award may be deferred under the terms of the EnPro Industries, Inc. Deferred Compensation Plan (or other deferred compensation plan of the Company).
