Performance of Research Plan. 4.2.1 Under each Research Plan, each Party shall use Commercially Reasonable Efforts to perform any part of the Research Plan assigned to it, including making resources available as and when required and supplying any product, equipment or materials as and when required and specified under the Research Plan. Each Party will provide all data and deliverables as required to be generated by it in accordance with the Research Plan.

Performance of Research Plan. Company and Merck each shall [**] conduct the work allocated to such Party under the Research Plan, including by allocating sufficient time, effort, equipment and facilities to the Research Program and using personnel with sufficient skills and experience as are required to accomplish the Research Program in accordance with the terms of this Agreement and the Research Plan. Merck shall be entitled to utilize the services of its Affiliates and Third Parties to perform its Research Program activities. Company shall be entitled to utilize the services of its Affiliates to perform its Research Program activities without Merck’s consent. Company shall be entitled to utilize the service of Third Parties to perform its Research Program activities [**], each Party shall remain at all times fully liable to the other Party for its respective responsibilities under the Research Program.
Performance of Research Plan. Company and Merck each shall [***] perform the work set out in the Research Plan by using their respective reasonable good faith efforts to allocate time, effort, equipment and facilities to the Research Program and to use personnel with appropriate skills and experience to perform the Research Program in accordance with the terms of this Agreement and the Research Plan. Merck shall be entitled to utilize the services of its Related Parties and Third Parties to perform its Research Program activities. Company shall be entitled to utilize the service of Third Parties to perform its Research Program activities only upon Merck’s prior written consent, such consent not to be unreasonably withheld, conditioned, or delayed, or as specifically set forth in Schedule 2.1.2. For clarity, if Merck does not respond to Company’s request for consent to a Third Party to perform activities under the Research Program within [***] after Company’s inquiry, [***]. Notwithstanding any engagement by a Party of a Third Party to perform Research Program activities on its behalf, such Party shall remain at all times fully liable for its respective responsibilities under the Research Program.
Performance of Research Plan. Each Party will use commercially reasonable efforts to perform the activities assigned to it under the Research Plan in accordance with the timelines set forth in the Research Plan. Each Party will undertake the performance of such activities in a professional manner, consistent with industry standards, and in compliance with all applicable laws and regulations. Each Party will have sole responsibility for determining the protocols, procedures, reagents, and instruments it uses to perform its activities under the Research Plan. No Party represents or warrants that the evaluation will be a success. Except as expressly set forth in this Agreement, no Party is obligated to perform any development, collaboration, or evaluation activities, or provide any samples, instruments, reagents, or software to the other Party. No fees of any kind will be paid by any Party to the other Party for performance of activities set forth in the Research Plan.

Related to Performance of Research Plan

  • Performance of Work All work described in this Section 8 shall be performed only by Landlord or by contractors and subcontractors approved in writing by Landlord and only in accordance with plans and specifications approved by Landlord in writing. If Landlord elects, in its sole discretion, to supervise any work described in this Section 8, Tenant shall pay to Landlord a construction management fee equal to 5% of the cost of such work. Tenant shall cause all contractors and subcontractors to procure and maintain insurance coverage naming Landlord, Landlord’s Mortgagee, Landlord’s property management company and Landlord’s asset management company as additional insureds against such risks, in such amounts, and with such companies as Landlord may reasonably require. Tenant shall provide Landlord with the identities, mailing addresses and telephone numbers of all persons performing work or supplying materials prior to beginning such construction and Landlord may post on and about the Premises notices of non-responsibility pursuant to applicable Laws. All such work shall be performed in accordance with all Laws and in a good and workmanlike manner so as not to damage the Building (including the Premises, the Building’s Structure and the Building’s Systems) and shall use materials of a quality that is at least equal to the quality designated by Landlord as the minimum standard for the Building, and in such manner as to cause a minimum of disruption to the other occupants of the Project and interference with other construction in progress and with the transaction of business in the Project and the related complex. Landlord may designate reasonable rules, regulations and procedures for the performance of all such work in the Building (including insurance requirements for contractors) and, to the extent reasonably necessary to avoid disruption to the occupants of the Building, shall have the right to designate the time when such work may be performed. All such work which may affect the Building’s Structure or the Building’s Systems must be approved by the Project’s engineer of record, at Tenant’s expense and, at Landlord’s election, must be performed by Landlord’s usual contractor for such work. All work affecting the roof of the Building must be performed by Landlord’s roofing contractor and no such work will be permitted if it would void or reduce or otherwise adversely affect the warranty on the roof. Upon completion of any work described in this Section 8, except with respect to any Permitted Alterations or any repairs required to be made by Tenant under Section 8.2, Tenant shall furnish Landlord with accurate reproducible “as-built” CADD files of the improvements as constructed.
