Person Authorized to Act. Prior to Closing, Sellers shall deliver (a) a true and complete list of the names and locations of all banks, trust companies, Securities brokers, and other financial institutions at which each of the Companies have an account or safe deposit box or maintains a banking, custodial, trading, or other similar relationship, (b) a true and complete list and description of each such account, box, and relationship, indicating in each case the account number and the names of the respective officers, employees, agents, or other similar representatives of the Companies transacting business with respect thereto, (c) a true and complete list of each person authorized to draw on each such account, entitled to have access thereto or authorized to borrow money (or furnish security for the same) therefrom, and (d) a true and complete list of each power of attorney granted to any person or persons for any purpose.
