Personal Contract. 10.01 This Agreement and all other rights, benefits and privileges herein confirmed will be personal, and accordingly may not be assigned by the Manager.

A musician’s position as concertmaster, associate concertmaster, assistant concertmaster, principal player or assistant principal player shall be stated in his/her personal contract. The Music Director will specify the remaining seating in consultation with the principal of the section. Personal contracts will be issued no later than April 1 of each year in which a Master Agreement is in place. Personal letters of intent will be issued no later than April 1 of each year in which the Master Agreement is in negotiation. Such letters of intent shall, upon signing of the Master Agreement being negotiated, assume the power and effect of a Personal Contract.
Personal Contract. It is acknowledged and agreed that a material part of the consideration for the Company's entering into this Agreement is the personal confidence reposed in the Franchisee, and no person shall succeed to any of the rights of the Franchisee under this Agreement by virtue of any voluntary or involuntary proceeding in bankruptcy, receivership, attachment, execution, assignment for the benefit of creditors or other legal process.

The Dealer Agreement, these Terms and Conditions, and any Purchase Order shall be deemed a personal contract of Dealer which waives all benefits of the Shipowner’s Limitation of Liability Act, 46 U.S.C. § 183, et seq. or any other similar laws as to Company Indemnitees. Neither Dealer nor its underwriters shall be entitled to claim the benefits of such limitation of liability statute in respect of Claims asserted by Company Indemnitees. The purpose of this Section is to insure by specific contractual agreement that Company Indemnitees are able to enforce all indemnity obligations and insurance coverage for their benefit under the Dealer Agreement and these Terms and Conditions to the maximum extent permitted by law. Nothing in this Section is intended to prevent Dealer or its underwriters from asserting all applicable limitation of liability defenses or Claims by persons or entities not specifically defined as Company Indemnitees under the Dealer Agreement or these Terms and Conditions.
