GENERAL PROVISIONS Preamble BOTH Second City and Equity recognize the joint responsibility to promote a healthy, viable and sustainable professional theatre sector in an increasingly competitive, changing environment through the promotion of specific work and Canadian professional theatre in general. It is hereby recognized that both the Theatre and the Artist have a joint interest in promoting productions and the Canadian Theatre Industry. Any use of material beyond these timelines shall not be considered a breach when the distribution of the material is beyond the control of the party.

In performing the Services contemplated by this Agreement, Consultant may be given access to facilities, processes, events, and employees that are not otherwise accessible to the general public. In addition to the limitations set forth in paragraph C above, Consultant agrees not to photograph, videotape, or otherwise record any such facility, process, event, or employee without the express, written, consent of the County and shall ensure that Consultant’s officers, employees, representatives, agents, and subcontractors comply with this provision. Consultant further agrees that it shall not publish, post, disseminate, or make public any photograph, videotape or recording of any facility, process, event, or employee taken in violation of this provision shall ensure that Consultant’s officers, employees, representatives, agents, and subcontractors comply with this provision. Failure to comply with the restrictions contained in this paragraph shall constitute grounds for the immediate termination of this Agreement and shall entitle County to the recovery of any and all damages incurred as a result thereof including reasonable attorneys’ fees. Consultant shall defend, indemnify and hold County, its officials, officers, employees, volunteers and agents free and harmless, pursuant to the indemnification provisions of this Agreement, for any violation of this paragraph.

Unless otherwise specifically requested and acknowledged by ATs in writing, Passengers grant to ATs ownership of and an irrevocable, perpetual worldwide license to utilize any visual, video or audio recordings of them, their portrayal or likeness that relate to Car occupancy and Journey layover activities for advertising or promotion of ATs Journeys and services, without payment or compensation.

By participating in the Training, Participants agree that Nuix and its partners may document, film, photograph, and capture Participants’ voices and images in any media at a Training (“Photos and Recordings”).
