Pine Tree Zone. Purchaser shall have the right, by notice given in writing at any time prior to the expiration of the Inspection Completion Date, as the same may be extended pursuant to Section 4.7, to cancel this Agreement if Purchaser concludes, in its sole and absolute discretion, that Purchaser may not receive the full tax benefits of the Pine Tree Development Zone Program of the State of Maine notwithstanding the issuance of a Certificate of Qualification by the Commissioner of the Department of Economic and Community Development that business to be conducted by Purchaser on the Property is a qualified Pine Tree Development Zone business; in such event, the Exxxxxx Money Deposit and accrued interest (less the Independent Consideration) shall be returned to Purchaser and the parties shall be released from all liability hereunder. The Independent Consideration shall be paid to Seller. Purchaser agrees to act in good faith to submit all information requested by the Department of Economic and Community Department or by any other agency or department of the State of Maine in a timely manner to seek approval of its application.

  • Post-Closing Operations After the Closing, ACQUIRED COMPANY will be a wholly-owned subsidiary of the Company subject to the terms and conditions outlined in this Agreement.
