Common use of Pledged Stock; Stock Powers Clause in Contracts

Pledged Stock; Stock Powers. The Administrative Agent shall have received certificates representing the Pledged Stock pursuant to the Pledge Agreements, together with an undated stock power executed in blank for each such certificate, an acknowledgment of and consent to each such Pledge Agreement by the Borrower or the applicable Subsidiary and any other items required under the terms of any such Pledge Agreement.

The Administrative Agent shall have received (A) certificates representing the Pledged Stock stock pledged pursuant to the each Pledge AgreementsAgreement, together with an undated stock power executed in blank for each such certificate, an acknowledgment of and consent (B) the Acknowledgments and Consents attached as exhibits to each such Pledge Agreement by the Borrower or the applicable Subsidiary and any other items required under the terms of any such Pledge Agreement, in each case executed and delivered by a duly authorized officer of the relevant issuer.

The Administrative Agent shall have received the certificates representing the Pledged Stock shares pledged pursuant to each of the Pledge Agreements, together with an undated stock power for each such certificate executed in blank for by a duly authorized officer of the pledgor thereof. Each Issuer referred to in each such certificate, Pledge Agreement shall have delivered an acknowledgment acknowledgement of and consent to each such Pledge Agreement Agreement, executed by a duly authorized officer of such Issuer, in substantially the Borrower or the applicable Subsidiary and any other items required under the terms of any form appended to such Pledge Agreement.
