Polarchem Agreement. AGT shall have entered into an agreement with Polarchem Associated Limited, Polarchem International Limited, Ulf Txxx Xxxxxx, Dxxxx Ixxxx Xxxxx, Gxxxxxx Xxxxxxxx and the Duitoit-Gunesin Family (collectively, “Polarchem”) upon terms and conditions reasonably satisfactory to Osler which (i) supersedes in its entirety the General Agreement and Contract between Polarchem and AGT Canada, and (ii) vests in AGT all rights to the exclusive distribution of Polarchem products as previously granted to AGT Canada.
