POLICIES AND RISKS REINSURED. In accordance with the terms and conditions hereof, the Cedent hereby cedes and the Reinsurer hereby accepts as indemnity reinsurance on a modified coinsurance basis, the quota share of the Cedent's liabilities under the policies (the "Policies") listed in Schedule A, net of Existing Reinsurance as described in Schedule B.
POLICIES AND RISKS REINSURED. The Policies and risks reinsured under this Agreement are the Cedent's net liability on the policies of all plans of variable annuities listed in Paragraph 2 below, including associated riders, that are in force as of the date of this Agreement or included in future endorsements. "Net liability" means the Cedent's net retained liability on all Policies. Certain policy exchanges for substantially similar policies undertaken by the Cedent for the sole purpose of administrative simplicity shall be considered endorsements rather than replacements and the resulting policies shall continue to be covered by this Agreement.
POLICIES AND RISKS REINSURED. The Reinsurer agrees to indemnify the Ceding Company for, and the Ceding Company agrees to reinsure with the Reinsurer, according to the terms and conditions hereof, the portion of the risks under the policies described in Schedule A attached hereto.
POLICIES AND RISKS REINSURED. Under this Agreement, the Reinsurer reinsures a 50% percent quota share of the Ceding Company’s liability on those life policies issued by the Ceding Company and described above. Accidental Death Benefit coverage is excluded.

POLICIES AND RISKS REINSURED. The Reinsurer agrees to indemnify, by means of indemnity reinsurance, and the Company agrees to reinsure with the Reinsurer, according to the terms and conditions hereof, the portion of the policies described in Schedule A hereto, which are in force on the Effective Date of this Agreement or which are thereafter placed in force while this Agreement is in effect. The intent of this Agreement is to pass all of the underlying risks assumed on the original policies, including the investment risk, to the Reinsurer without necessitating the Company to transfer the assets or their cash equivalents to the Reinsurer.
POLICIES AND RISKS REINSURED. In accordance with the terms and conditions hereof, MetLife hereby cedes and each Reinsurer hereby accepts severally, each for its own account, as indemnity reinsurance on a modified coinsurance basis, the quota share of MetLife's liabilities under the policies (the "Policies") listed in Schedule A, net of Existing Reinsurance as described in Schedule B, in the amount that is specified in the Certificate.
POLICIES AND RISKS REINSURED. The Ceding Company agrees to cede and the Reinsurer agrees to accept the Quota Share Percentage of the risks under the Policies, as such terms are defined in Schedule A - Policies Reinsured, according to the terms and conditions set out herein.

The Reinsurer agrees to indemnify the Ceding Company for, and the Ceding Company agrees to reinsure with the Reinsurer, according to the terms and conditions hereof, the excess of loss portion of the risks assumed by the Ceding Company under the Coinsurance and Modified Coinsurance Agreement numbered 5073 effective as of October 1, 2000 (the "Underlying Agreement") by and between the Ceding Company and Employers Reassurance Corporation ("Underlying Ceding Company").
